Where available, Cisc shall prvide the Netwrk Optimizatin Service described belw as selected and detailed n the Purchase Order fr which Cisc has been paid the apprpriate fee. Cisc shall prvide a Qute fr Services ( Qute ) setting ut the extent f the Services and duratin that Cisc shall prvide such Services. Cisc shall receive a Purchase Order that references the Qute agreed between the parties and that, additinally, acknwledges and agrees t the terms cntained therein. Services Summary Netwrk Optimizatin Service includes service areas f Rute/Switch, Architecture, Security, and Wireless. Netwrk Optimizatin Services prvide annual, nging supprt fr Custmer, addressing the fllwing: Rute/switch any Cisc Prducts and technlgies which frward and/r prcess ruted IP and switched Ethernet traffic. Security - all Cisc Security prducts including firewall, intrusin preventin, VPN, cntent security, identity and security management. Wireless - all Cisc Wireless prducts including wireless LAN access pint, wireless cntrllers and wireless netwrk management. Services prvided by Cisc are remtely delivered unless therwise nted. Cisc shall prvide the fllwing General Supprt prvisins fr all Services selected by Custmer: General Supprt Designate an engineer ( Advanced Services Engineer ) t act as the primary interface with Custmer fr its Netwrk. Schedule with Custmer up t fur (4) quarterly visits per yearly subscriptin perid, (nt t exceed eight (8) days in aggregate) t Custmer's site t review Deliverables and Activities and plan fr the next quarter. Additinal visits will be mutually agreed upn at Cisc s then-current travel and labr rates. Schedule peridic (typically weekly) cnference calls t review Custmer s Netwrk status, planning, and the Services being prvided. Make cllabratin tls available fr hsting meetings, managing dcumentatin, instant messaging, desktp sharing, and cllabrative spaces. Establish a Custmer-specific Cisc alias t facilitate cmmunicatin with Advanced Services Engineer. Prvide certain Data Cllectin Tls Cisc identifies as apprpriate fr Netwrk data cllectin during the Term f the Services, prvided that all fees due and wing t Cisc under this Service Descriptin have been paid. Data Cllectin Tls may r may nt include hardware r sftware. Custmer acknwledges and agrees Cisc shall retain full right, title, and interest t the Data Cllectin Tls. In additin t Cisc prvided tls, the Advanced Services Engineer may utilize Custmer prvided data, scripts, r internal tls t assist in cllecting data frm the Custmer Netwrk. Custmer Terminatin The Custmer must return any assciated Cisc materials (hardware, sftware and dcumentatin) prvided as part f the Service t Cisc immediately upn expiratin r terminatin f the Service cntract. A Design Review may include, amng ther infrmatin, the fllwing: Review f Custmer s design requirements, pririties, and gals Analysis f impact f new requirements n the existing Netwrk Review f Netwrk architecture and tplgy Review f prtcl selectin and cnfiguratin Review f feature selectin and cnfiguratin Review f device security cnsideratins (i.e. authenticatin, VLANs, subnet islatins, etc.) Reprt describing the new r current design with recmmendatins Netwrk Tplgy Mdeling Analysis. Cisc will cnsult with Custmer via a series f meetings t imprve end t end netwrk availability and resiliency by analyzing the cre ruting and switching cmpnents that supprt missin critical applicatins and services. The service mdels current peratinal state and prvides actinable recmmendatins. A Netwrk Tplgy Mdeling Analysis service may include, amng ther infrmatin, the fllwing: Netwrk Tplgy Representatin Netwrk Resiliency Analysis Netwrk Availability Analysis Test Cycle and Review. Cisc will cnsult with Custmer via a series f meetings t develp a thrugh understanding f Custmer s slutin-riented testing gals and requirements. Cisc will execute netwrking tests t prve r disprve theries and reprt findings t Custmer. A Test Cycle and Review may include, amng ther infrmatin, the fllwing: Review f Custmer s testing gals and business bjectives Cllabrate n a Test Plan Analysis f requirements such as platfrms, tplgy, prtcls, and cnfiguratins Reprt describing test findings and recmmendatins Testing and Lab Strategy Review. Cisc will cnsult with Custmer via a series f meetings t develp a thrugh understanding f Custmer s netwrking device testing capabilities, lab strategy, practices, and business gals. A Testing and Lab Strategy Review will cntain verall strategy recmmendatins and may include, amng ther infrmatin, the fllwing: Review f Custmer s test envirnment, resurces, cncerns, and challenges Analysis f Custmer s current testing practices and lab strategy Reprt describing the analysis cmparing Custmer s current practices t Cisc s recmmended best practices and Cisc s recmmendatins Onging Design Supprt. Cisc will cnsult with Custmer via a series f meetings t develp a thrugh understanding f Custmer s Sftware management requirements and practices such as standards, migratin triggers, and implementatin methdlgies. Analysis f sftware release upgrade trends bserved in install base. Sftware usage benchmarks acrss platfrms and best practices Sftware Release Bug Tracking. Peridic insights and tracking f critical bugs fr specified sftware release standards. Custmer s access t Dashbard will be valid until the duratin f the engagement. Cisc Platfrms and assciated OS types delivered thrugh the dashbard are as fllws. In additin t cnditins defined in the General Supprt sectin, designate an engineer ( Advanced Services Engineer ) nsite at Custmer s designated lcatin t act as the primary interface with Custmer, prviding general advice and guidance related t Custmer s Netwrk. Custmer directed tasks t be perfrmed by Advanced Services Engineer are subject t Cisc apprval, which shall nt be unreasnably withheld. An Onsite Netwrk Cnsulting Supprt is nly available t certain gegraphic lcatins and will be specified in the Qute if prvided. Where available, the fllwing may include: Onging, nsite supprt and technical leadership frm a lcal Cisc Advanced Services Engineer available up fr t five days per week (pending lcal wrk restrictins) during Nrmal Business Hurs excluding Cisc hlidays, lcally recgnized cuntry hlidays, vacatin, and training days. Onsite Netwrk Optimizatin Supprt. In additin t cnditins defined in the General Supprt sectin, designate an engineer ( Advanced Services Engineer ) nsite at Custmer s designated lcatin t act as the primary interface with Custmer fr its Netwrk, prviding general advice and guidance t lead the delivery f the Netwrk Optimizatin Service rdered by Custmer.
