1 SRK Architects Inc architecture interior design planning brand development 7/8/14 Mr. Jose Chavez, P.E.R. / Exalted Ruler San Pedro Elks Lodge # Cumbre Drive San Pedro CA RE: San Pedro Elks Lodge #966 Renovation/Reconstruction Dear Mr. Chavez, It was a pleasure meeting you and the members of San Pedro Elks Lodge recently to discuss your renovation plans. Pursuant to your request, please find enclosed herewith our proposal to serve as your architect/engineering team on this very exciting project. As you know, we possess extensive knowledge and expertise to take on this type of project with an eye to re-open Elks Lodge as quickly as possible. The forgoing proposal constitutes our best judgment to achieve an expeditious and comprehensive renovation of your property. Following our meeting, SRK met with Elks Club Representatives, walked the property and building to discuss your initial design objectives listed below: 1) Enlarge the east facing balcony for expanded dining opportunity. 2) Eliminate the existing east shear wall. 3) Re-locate banquet bar to better differentiate areas for member use only. 4) Install a new ADA compliant disabled access lift. 5) Expand the Club Room north-side balcony. 6) Fully Sprinkler the Building. Additionally, you may want to consider adding a small serving kitchen near the Club Room. We concur with the above listed design goals and believe their implementation will create a better facility for the current and future generations of Elks Lodge Membership. Specifically, new food and beverage venues combined with other interior and exterior features leverages the potential of the project in significant ways. 1

2 We also discussed re-envisioning the Club Room for expanded outside dining on the north side and designing a new member bar area. We understand that the Lodge Room itself will remain largely intact, yet be outfitted with specific improvements (to be further discussed), as the Lodge Room was largely untouched by the fire. With regard to the Lower Level, we understand the project will include new Men's and Women's Showers, Lockers, and Exercise facilities. As discussed in our meeting, this is an area where we have just completed a comprehensive re-planning of new athletic facilities for the Los Angeles Athletic Club and will carry forward all lessons learned. Last, in considering your landholding, Elks Lodge may wish to consider a modest pool and tennis facility upgrade and/or other outdoor improvements to take advantage of available un-used land. The design portion of this work is included in our proposal. Scope of Service A. Pre-Schematic Project Due Diligence (4 weeks) During the initial phase of service, we will perform general due diligence required to support development of an exciting new design plan and we will provide you with three-dimensional sketches of our ideas. Concurrently, we will assess the jurisdictional constraints on the property and develop a proactive reconstruction strategy for the project. In particular, the existing Conditional Use Permit and other pertinent data is carefully reviewed to maintain the building s existing non-conforming status while introducing new facility upgrades. Further, we will submit to City of Los Angeles, a Case Management Application and request a Grading Pre-Inspection to determine key project requirements going forward, as well as contacting Councilmember Buscaino regarding expediting the project. SRK will be responsible to organize client meetings around your schedules and throughout the project duration. Deliverables in this phase include: 1) Concept Floor Plans, 2) Sections, 3) Elevations, 4) Site/Landscape Plan 5) Multiple Interior and Exterior Sketch Perspectives 6) Project Descriptions, and 7) Data Summary. Additionally, through our Consultant Team, we will prepare specific written summaries pertaining to technical requirements for the project as well as significant design opportunities related to each specialty consultant discipline. 2

3 These include but are not limited to: Architecture and Interior Design Structural Mechanical and Plumbing Electrical Specifications Code Review / Life Safety Systems Civil Engineering / Site design Hardscape and Landscape Design Lighting Design and Specifications Low Voltage Systems (AV, Network Systems, Security Systems) Sustainability Provisions (as applicable) SRK will manage this process culminating in the presentation of a combined Concept Design/Due Diligence Package to validate the project scope and basic design parameters. B. Schematic Design Phase Services (4 weeks) Following completion and acceptance of the above, SRK will advance comprehensive Schematic Design Services illustrating the complete scope and character of the project. These services include architectural, structural mechanical electrical and plumbing design as well as outline specifications sufficient to initiate a preliminary cost budget for the project. During Schematics, SRK Interiors will concurrently prepare and present a series of mood boards and sketches intended to establish the character of the interior architecture for each main public spaces including exterior lighting concepts, kitchen design, and basic furnishing layouts for both member and non-member areas. C. Design Development Phase Services (5 weeks) During this phase, SRK will prepare initial construction documents incorporating owner input and any approved scope or design adjustments. These documents comprehensive in nature incorporating architectural, structural, mechanical, electrical, plumbing, and new Fire / Life Safety Systems. Concurrent with Design Development, SRK will prepare preliminary interior finish selections for your review. Your input during this phase will be incorporated into preparation of Final Material and Sample Boards for your use. 3

4 D. Construction Document Phase Services (8 weeks) Upon approval of Design Development Phase Services, SRK and our Consultants will incorporate owner input in preparing the final construction documents for submittal to the Los Angeles Department of Building and Safety for Plan Check. Concurrently, we will coordinate submission of MEP Plans for respective Mechanical, Electrical and Plumbing Division reviews, as well as, LA County Health Department related to food and beverage service in accordance with existing ABC Permits and the existing Conditional Use Permit. E. Bidding and Expedited Plan Check Phase Services Once submitted to LADBS, SRK will coordinate plan reviews as necessary to obtain required building permits. This process is highly interactive with building officials and may involve the preparation of supplemental documents or minor plan revisions to conform to latest code interpretations, ordinances and reference standards. With respect to solicitation and selection of a qualified general contractor, our job is to assist you as requested and review the proposed Owner-Contractor Agreement to insure that the General Contractor is obligated to construct the project in accordance with the approved plans. F. Construction Phase Services During construction, SRK will provide all customary services including, periodic site visitation, processing requests for information (RFI's), issuing bulletins and addenda. Change orders shall be minimized. G. Owner Provided Furniture Fixtures and Equipment Upon substantial completion of construction and securing of the Temporary Certificate of Occupancy (TCO), it will be necessary to install owner-provided Furniture Fixtures and Equipment (FF&E). This includes such items as lockers, equipment, furnishings, etc. and all required soft goods and expendables necessary open the facility. This portion of the project requires special consideration and is customarily contracted separately following completion of the Schematic Design Phase Services. H. Project Close out / Start-up In order to achieve un-restricted building occupancy, the construction work must be professionally procured and signed-off on by City and County building officials including for all elements including systems integration 4

5 and testing. SRK s Closeout Process is to insure that all of the Punch List Items are complete and signed off. SRK pledges to deliver excellence in service to San Pedro Elks Lodge throughout the entire process. Compensation For the above described scope of service, we propose a lump sum fee for basic services including, Architecture, Interior Design, Structural, Mechanical, Electrical, Plumbing, and Specifications in the amount of $697,200 invoiced monthly on a Percentage of Completion Basis as follows: Retention 2% Pre-schematics 6% Schematics 10% Design Development 20% Construction Documents 45% Plan Check 5% Construction Administration 10% Installation / Commissioning / Close-out 2% 100% For Site Related Design and Engineering Services, we recommend allocation of an additional $70,000. This covers special surveys, utility design, hardscape, landscape and irrigation design for the project. For Specialty Consulting Services, we recommend allocation of $60,000 to cover detailed lighting specification and kitchen design, as well as limited code/life safety services. Additionally, we are reimbursed for expenses incurred on behalf of the project at a rate of 1.1 x direct expense including but not limited to: printing, mileage, postage, delivery and other special services. As you know, our proposed Consultant Team have worked together for years and are highly motivated to serve the San Pedro Elks Lodge #966. We believe our design and service approach will result in a superior facility to the delight of members and guests from Opening Day forward. Our team will work hard and remain resolute to accomplish the reconstruction of Elks Lodge for the Community of San Pedro. For your convenience, this proposal may serve as an Interim Agreement by signing where provided for below. As is customary, we will follow-up by submitting the AIA Standard Form of Agreement between Owner and Architect, upon conclusion of Concept/Due Diligence Phase Services. 5
