1 Sandomierz, September 15 TH 2014 TENDER INVITATION - INSTALLATION OF PROCESSING LINE FOR THE PRODUCTION OF SIDE LIGHTS IN THE 2dFB TECHNOLOGY AND THE PROCESSING LINE FOR INSTALLATION OF ADDITIONAL ELEMENTS Dear Sirs, We are pleased to announce that Pilkington Automotive Poland Sp. z o.o. with its registered office in Sandomierz, Portowa 24 Street, Sandomierz registered in National Court Register, District Court in Kielce, Economic Department X, under KRS number , REGON , NIP , with Authorized Capital of PLN (hereinafter referred to as NSG) has been recommended for co-financing from European Regional Development Fund under the Innovative Economy Operational Program, Sub-action in connection with realization of Construction of new plant for the production of innovative glass for the automotive industry investment project. Therefore, our company invites all parties willing to place their bids for installation works for operation of a new innovative wind screens production facility for the automotive industry, which is located in Chmielów, Strefowa 17 Street, Chmielów. The tendering procedure is divided into two stages: Stage I: selection of the Tenders based on entry criteria (indicated in the enclosed supplier selection criteria form as an entrance to next stages) Stage II: issue to the Tenders, who successfully met the entry criteria (STAGE I), of the technical specification, in English and Polish languages, and competition of the bidding process, accordingly to the enclosed criteria. The scope of the tender : General scope is the full installation of processing line for the production of side lights in the 2dFB technology and the processing line for installation of additional elements (electrical and mechanical) for new plant for production of innovative glass in Chmielow. 2 Meaning of the line installation works will be: - Unloading from the trucks at the arrival in the site for all included into the supply - Storage of all the materials in a defined area in the site indicated by - Moving of all the materials and equipment to the installation areas - Equipment positioning and re-assembly where necessary on mechanical side - Electrical cable tray racks positioning and cabling inside automation cabinet - Pneumatical connection from the equipment feeding point to the nearest available connection - Line ground test based in local Polish law - Materials supply where specifically requested - Mechanical and electrical supervision during cold and hot commissioning - Mechanical and electrical assistance during start-up The purchase covers: the design, construction, delivery, installation and start up. STAGE I In order to be able to participate in the STAGE II of the Tender, bidder must be able to fulfill all the following entry criteria, and should submit required documents (suggest to use NSG developed templates) 1. Acceptance of the NSG Group confidentiality agreement 2. To have performed, within the last 3 years ( ), similar services to what requested in this tender 3. To be in disposal of at least 1 person experienced in installation, check-out and start-up of their, able to speak also in English language (it is authorized to use a translator) 4. To accept the NSG PEC1 & PEC2 conditions 5. Declaration concerning annual turnover for last 3 years (2011, 2012 and 2013) 6. To accept NSG Supplier Code of Conduct 7. The tender offer shall include the bidder s statement, which shall state that the bidder on the date of filing the tender offer: Page 2 of 6

3 - is not in the liquidation process, - is not pronounced bankrupt, - is not in delay with payments of taxes, charges and/or premiums for the national insurance or the health incurrence. Deadline for submitting the entry criteria forms is September 29 th Administrative verification of required elements of tendering documentation will take place till October 1 st 2014 NSG reserves the right to cancel at any time the tendering without providing any justification to the bidders. Bidder are invited to deliver by hand in a printed hard copy or sent by recorded post, or by courier or by (maximum 10 MB). 4 STAGE II Only these Bidders who meet the STAGE I entry criteria are admitted to the bidding phase STAGE II where Technical Specification will be presented. Bids are going to be evaluated versus the selection criteria listed below. For each criteria the score can range from 0 to a max value of points, based on Tender s written bid: 0 representing lowest level among the offers Max value representing the highest level among the offers. Any offer not meeting at any point the NSG technical specification or the delivery timing it is going to be discharged, and not be evaluated. I. Number of design, material supply, installation and start up services supplied in the last 3 years, similar as what quoted in the technical specification [score range:1 point to every supply up to a maximum of 30 points] II. Offered price [score range: 0 to 51] (Points will be granted proportionally according to linear function) III. Payment terms after issue of the invoices (days) [Score range: 0,5 point per every 10 days, up to a maximum of 9 points] IV. Performance bonds ( in the form of bank guarantee or insurance guarantee ) as a percentage of the order amount (%) [Score range: 0,5 points per every 10 %, up to a maximum of 1 point] V. Quality and Environmental criteria : To have a valid ISO 9001 or 9002 certificate Page 4 of 6

5 [score range: 0 if no certificate available 3 if valid certificate is provided ] To have a valid ISO certificate [score range: 0 if no certificate available 3 if valid certificate is provided ] To have a valid ISO certificate [score range: 0 if no certificate available 3 if valid certificate is provided ] The offer must contain: The name and address of the bidder The offer should be presented on the bidder company letterhead The date of offer creation should be indicated The offer should be signed by the bidder Each offer shall have the validity period of 6 months as a minimum Each offer shall report the separate replies to the criteria I to V listed above Each offer shall contain the acceptance of the full scope of the NSG technical specifications The deadline for submitting an offer is October 22 th Administrative verification of required elements of tendering documentation will take place till October 24 th NSG reserves the right to prolong the bidding period, especially due to technical specification change. NSG will assess the need of the longer bidding time, to implement all necessary changes in the offer, or in any other case, which NSG considers as indispensable. Prolongation of the Page 5 of 6

6 bidding period may occur maximum two times. About the prolongation of the bidding period NSG will notify in the same way as about invitations to tender. Documents should be delivered, in English and Polish language, by registered letter, by courier, personally or by (maximum 10 MB). You should make sure that the documentation is complete and has been signed by an authorised person. The top 3 Tenders, reaching the highest scores on the criteria I to V, are going to be invited to the final technical review and commercial negotiation concerning economic and technical conditions. Bidders are going to be ultimately chosen based on the criteria from Stage II according to the findings during the negotiations. The winning tender shall be selected within 30 days from the final date of submitting of the bid for STAGE II. NSG Group allows the possibility of grant supplementary contracts up to 20% of the value of the basic contract NSG reserves the right to cancel at any time the tendering, without any notice or written justification. NSG reserve the right to commission third parties to verify the information submitted by the bidders, major differences in data or incompatibility may be reason to exclude bidder from tendering procedure.
