Contract awarding procedure In accordance with the competitiveness principle described in points and f the Guidelines on eligibility of expenditure within the European Regional Development Fund, European Social Fund and Cohesion fund for III. Description of the subject of the procurement The subject of the Order is the delivery of devices, installation, start-up and leading a basic training in terms of their operation. The place of installation is a room intended for the Department of Production of EMU Sp. z o.o. Sp. k. Maximum term of delivery for devices is 30 days. The minimum guarantee period is 12 months. a) TYPE 1 Stationary welder that allows capacitive discharge welding of batteries, accumulators and cylindrical cells, prismatic cells, button cells manufactured in Li-Ion, nickel cadmium or Nickel manganese technology with a capability to use common or independent (separate) control of lowering electrodes and releasing the welding pulse. Device equipment: Pneumatic, stationary welding head with regulation of pressure force on each electrode separately, which allows welding of batteries and cylindrical cells as well as button cells with regulation of interval between electrodes and the welded element. Head for which replaceable electrodes can be used with various thickness diameters, Pneumatic, stationary welding head with regulation of pressure force on each electrode separately, which allows welding of prismatic batteries and cells (flat) with a possibility of using replaceable electrodes with various thickness diameters, Manual head for welding prismatic batteries and cells (serial head), 2

Device parameters: Power supply 230 V, 50 Hz, Capacity welding using one or two pulses, Welding of nickel or nickel-plated joints with thickness of 0,2 mm without prior technological preparation, Welding steel materials, 0,2 mm thick, Fluidly regulated welding pulse energy from 10 Ws to 400 Ws with 5 Ws increment, Guarantee: Welder with heads and remaining equipment at least 12 months b) TYPE 2 A stationary welder that allows welding and arc welding of cylindrical, prismatic, button cells manufactured in Li-ion, Nickel cadmium and nickel manganese technology as well as welding metals that conduct electrical current, such as steel, copper, nickel, aluminium and other. Device equipment: A stationary head with regulated pressure force and distance between the electrode and the welded element that allows welding of batteries and cylindrical cells. The head should be adjusted for operation with the construction of a battery dedicated for application in electric vehicles, A stationary pin type head equipped with magnifying optics that allows precise point welding of metal derivative materials, Foot release. Device parameters: Arc welding, Fluidly regulated welding pulse energy between 0,1 Ws and 250 Ws, Fluidly regulated welding pulse current between 10 A and 800 A, Manually controlled pulse shape, 3

4 Welding of copper joints with thickness up to 0,5 mm, Welding (connecting) metal derivative materials, such as: lines, coils, enclosures and steel bolts, aluminium profiles, thermocouples, tungsten lines etc, A graphical control panel with a possibility to select Polish language, Creating work profiles (recording the device settings), Guarantee: Welder with heads and remaining equipment at least 12 months IV. Conditions of participation in the procedure and description of methods for evaluation of these conditions Only these Suppliers can apply for procurement who: 1. have permissions to perform specific activities or actions, if required by law; 2. have the necessary knowledge and experience to perform the subject of the order; 3. have the necessary technical potential and people who can perform the order and check it in the case there are problems with the operation of the subject of the order; 4. have the basic consumables for the offered devices at hand and are able to provide their availability within 2 working days; 5. are not affiliated personally or financially with the Ordering Party. Financial or personal affiliation is understood as mutual affiliation between the Ordering Party or people authorised to make commitments on behalf of the Ordering Party or people who perform actions related with preparation and performance of the supplier selection procedure on behalf of the Ordering Party and the Contractor, in particular to: a) participate in a company, as a civil law partner or personal partner, b) own at least 10% of stakes or shares, 4

5 c) fulfil a function of a member for a supervisory or management board, proxy, representative, d) remain in marriage, consanguinity or affinity in a straight line, second line consanguinity or affinity collaterally, or by adoption, custody or guardianship. The Contractor will fulfil the performance of the conditions above by submitting a statement found in Annex 2. VI. A way of calculating the bid price All prices should be entered in PLN and rounded up to 2 decimal place. VAT rates should be calculated in accordance with the current provisions of law. Contractor should prepare the bid providing the net price, due VAT tax and the gross price. VII. Criteria of assessment and selection of bids The selection of the most favourable offer will take place based on the following criteria: 5

7 Criterion 3 Performance period T= (t min /t n ) x 10% Where: T amount of points for the performance period t min the shortest offered performance period t n evaluated bid performance period Total amount of points obtained by the bidder is determined in accordance with the formula: Sn = C*0,75 + G*0,15 + T*0,1 The Ordering party will choose the most beneficial offer, which will receive the highest amount of points, based on the criteria specified above and will sign an agreement with the selected supplier. VIII. The bid has to be drafted in writing in Polish or English. The bid should be signed by an authorised person and should include the bid validity date. IX. Conditions of changing the agreement The ordering party specifies the following circumstances which could cause a need to introduce changes in the contents of a signed agreement in terms of the contents of a placed bid: change of performance of the agreement when there is another circumstance of legal, economic or technical background, or force majeure unforeseeable at the time the agreement is signed, for which none of the parties is responsible which make it impossible to perform the agreement in accordance with the order, 7

8 change of people responsible for contact and supervision over the performance of the subject matter of the agreement, appearance of obvious typographical errors. Changes mentioned above will be allowed only provided a motion is submitted by the Ordering Party and its acceptance by the Ordering Party, and their introduction will require a written form, otherwise null and void. X. Decision/selection of the bid Decision on the outcome of the bid selection process will take place within 7 days from the day the bid placement deadline. The outcome of the bid selection will be published on the Company internet page, as well as sent to each Bidder via mail. XI.
