1 IVM EXPERTS GOOD STEWARDS SCHOLARSHIP CONTEST Official Rules Contest begins August 1, 2013 (00:00:01, PT) [the contest "launch date"] and ends September 1, 2013 (23:59:59, PT) [the contest closing date]. All entries must be received by the contest closing date to be eligible. Prizes: Three (3) prizes will be awarded, each an academic scholarship valued at $1, Eligibility requirements To be eligible to enter this contest and win one of the contest's prizes, as of the contest launch date, applicants must meet the following criteria: 1. be 18 years of age or older 2. be a legal resident Canada who is not an employee of Dow AgroSciences and its subsidiaries, or a child of a Dow AgroSciences employee (whether a current or former employee including retired employees), or a person who resides with any of the foregoing 3. be a student who has either enrolled in a program of study in the academic year in a post-secondary institution in Canada in any discipline or who proposes to do so 4. be working in a vegetation management role in Canada, with the term "vegetation management" defined as follows: "the management of (namely, the care and control of) invasive weed, shrub, tree and brush management in a range of industrial uses from roadside and rail line treatment to utility rights-of-way and bare-ground applications on oil and gas sites and around power plants" [in the event of a dispute as to whether an entrant is or is not working in a vegetation management role in Canada at the relevant time, the decision of the contest judges in that regard will be final and without appeal]. How to enter To enter, visit click the contest icon and complete the contest application form that appears. Fully complete the contest application (including in 100 words or less per question your responses to the 3 essay questions) and then click enter and the application will then be entered. To be an eligible application, the application must be fully completed if any aspect of the application is not full completed, the application will be automatically rejected. The answers to the 3 essay questions must:

2 (1) be the original authorship of the entrant and no one other than the entrant may contribute in any way to the content of the essays written by the entrant, (2) not contain anything that is offensive (a determination in that regard shall be in the sole opinion of the contest sponsor) and if there is anything offensive contained in any of the answers to the essay questions the entry will be deemed to be automatically rejected, and (3) anything illegal and without limiting the generality of the foregoing they cannot contain the names of another person or the personal/private information of a third party, nor anything that could violate another's publicity rights, or misappropriate their personality, or anything that could be considered defamatory or that invades another's privacy. All information on the entry form (including answers to the essay questions) must be entirely accurate and entirely truthful. Only one application per person. Winner Selection/Judging Criteria Winners will be selected on September 15, 2013 based upon the applicant's answers to the essay questions on the application forms and in this regard the following will be some of the judging criteria used to assess those answers: the caliber of the ideas in the answers and the originality shown by those ideas and the caliber of the ways those ideas are expressed [the judging criteria in that regard by its very nature will be very subjective in nature]. Odds of winning depends on the quality of the responses to the essay questions. Winners will be notified of their having won by registered mail and/or at the municipal mailing address and/or address stated on their entry form. Sponsor will first make two attempts by to contact potential prize winner, the second attempt occurring 48 hours after the first attempt. If a prize is not claimed within 2 days of the second notification the sponsor will send the potential winner a registered letter and if the prize is not claimed within 14 days after the registered letter is sent then that person will be declared as having forfeited their prize and an alternate winner will be selected in their place. Only two alternate winners will be selected and if the second alternate does not claim their prize via this same process then the respective prize(s) will not be awarded. If winner does not return their release received as part of the winner's notification within 14 days of it having been sent to the winner by sponsor, that person will automatically forfeit their prize and nothing will be given to that person. Once the release is returned to the sponsor properly signed, a cheque for the prize will be sent to the winner by registered mail to the winner's address on the entrant's entry. By entering the contest: (i) the entrant agrees to release the contest sponsor, and those associated with them, from any liability no matter what the reason including if the contest sponsor has been negligent in any way in the conduct of the contest and (ii) by submitting

3 your answers to the essay questions, that such answers complies with all conditions related thereto as stated within these contest rules including that you are the sole author thereof and that the sponsor and those associated with them shall be released by you and held harmless by you in the event it is subsequently discovered that you have departed from or not complied with anything contained within these rules and such release shall also include a release from and against any and all claims based on publicity rights, misappropriation of personality, defamation, invasion of privacy, copyright infringement related cause of action that relate in any way to your submission or a component thereof or through the use by the sponsor of any of your essays in any way including your personal information (such as your name and address) in relation thereto. By entering this contest and accepting their prize, winners agree that their photograph, name, address and essays or parts of essays including sponsor's edited versions of the essays may be used by Sponsor as the Sponsor wishes including in all publicity related to the contest and published on the Sponsor's Website or used in brochures and other promotional vehicles of the sponsor, all without compensation to the winner. Without limiting the foregoing, and in consideration of the entrant submitting an entry into this contest: (i) a winner will be deemed to have granted to the sponsor, in perpetuity, a world-wide non-exclusive license to publish, display, reproduce, modify, edit or otherwise use their entry including their responses to the essay questions, in whole or in part, for advertising or promoting the Contest or for any other reason whatsoever, (ii) waive all moral rights in and to their entry (including their essay questions) in favour of the sponsor, including, without limitation, any and all rights of identification of authorship, and any and all rights of approval, and release sponsor with respect to any claims they may have relating to restriction or limitation on use or subsequent modifications, distortion, mutilation or destruction of such material and (iii) grants permission to sponsor to post entry materials (including their responses to their essay questions) on any website, including social media websites for public viewing, whether or not any such websites are owned by the sponsor. Before being declared a winner, a selected entrant must: (i) be in full compliance with these rules and (ii) properly sign and return sponsor's release within 14 days of it having been sent. Potential prize winners who do not or fail to comply fully with the contest rules will automatically forfeit their opportunity to win that prize and nothing else will be substituted or given to that potential winner. General rules: Contest is being sponsored by Dow AgroSciences Canada Inc. (the "sponsor"/"sponsor"). No correspondence will be entered into except with a potential winner. The decision of sponsor and their representatives in respect of any matter related to this contest (either before or following selection) is final and without appeal. For residents of Québec any litigation respecting the conduct or organization of this publicity contest may be

4 submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of the prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. Contest is subject to all applicable Federal, Provincial and Municipal laws. The sponsor, including its agents, representatives and those associated with them, are not responsible for any entry, a prize winning notification or the claim for prize, which fails to get entered, is lost, misdirected or which arrives late, as the case may be, whether or not due to the fault of the sponsor or of any other person or thing and whether or not due to an interrupted or unavailable browser or network server or malfunction, congestion, incompatibility, misconnection or miscommunication, failed or lost computer transmissions, or if the sponsor's /Web site portal is compromised by virus, bugs, unauthorized human or unauthorized non-human intervention, or for any technical malfunction of any telephone network or lines, computer on line systems, servers access providers, computer equipment, software failures, or failure of any entry to be received due to technical problems or traffic congestion on the Internet or sponsor's web site or other similar technical problems beyond the reasonable control of the sponsor (collectively, the "technical problems"). Proof of transmission (screenshots) does not constitute proof of delivery. The sponsor reserves the right to cancel, terminate, modify, amend or suspend the contest, in its sole discretion, if any of the foregoing technical problems prevents the fair or proper administration of the on-line portion of the contest and if sponsor does so, in the sole discretion of the Sponsor, sponsor further reserves the right when terminating the contest to select winners that includes those valid entries previously received during the contest period. The Contest sponsor will have no liability whatsoever if for any reason the contest is not capable of running as planned due to technical problems, including due to computer virus, bugs, unauthorized tampering, unauthorized intervention, fraud, technical failures, or any other causes. The Contest sponsor reserves their right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the contest or to be acting in violation of these rules or otherwise in a disruptive manner. Contest sponsor shall not be held responsible for any errors or negligence that may arise or occur in connection with the contest including any damage to an entrant s computer equipment, system, software or any combination thereof, as a result of their participation in this contest or from downloading any material from the contest Website or elsewhere. Entries, no-purchase entry requests, etc. generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. Prize must be accepted as awarded, in the name of the winner (who must be the person who submitted the entry), is not transferable, no cash value will be given for the prize and no substitution will be made for the prize (and without limiting the foregoing, prizes may not be sold or traded). The Sponsor, in its sole discretion, and for any reason, reserves the right to: (i) place reasonable restrictions on the availability or use of a prize or (ii)

5 substitute a prize for another prize of equal or greater value (and that may mean that a tuition credit may not be awarded but another prize in its place). In the event of a dispute over the identity of the person who submitted an on-line entry, the entry will be deemed to be submitted by the authorized account holder of the account through which the entry was made. "Authorized account holder" is defined as the natural person who is assigned to an address by an internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning addresses for the domain associated with the submitted address. Potential winner may be requested to provide the Contest sponsor with proof that the potential winner is the authorized account holder of the address associated with the potentially winning entry. By completing the entry form all entrants consent to the collection, use and distribution of their personal information by the Contest sponsor for the purposes of: (i) running the contest (ii) as permitted by these rules (for example, pursuant to these rules, all entrants who accept a prize consent to the use of their personal information for publicity usages) including as permitted by any release signed and (iii) unless the entrants opts out to the receipt of marketing information from the Sponsor about the Sponsor's products and services. Personal information is defined as anything that identifies an entrant as an individual, such as home telephone number, age, home address, address, gender. Contest sponsor will not sell or transmit this information to third parties except for the purposes of administering the Contest.
