2 Overview of Promotion Manchu WOK WOK OF FORTUNE PROMOTION OFFICIAL CONTEST RULES - CANADA This Promotion is designed to give Manchu WOK (hereinafter the Sponsor or MW ) customers a chance to win a daily $100 pre-paid credit card prize and a grand prize of $5,000. To enter, each eligible customer who purchases a meal (i.e. a 1, 2 or 3 item meal purchase) during the Promotional Period will receive a game card with a PIN (while supplies last) prompting the customer to visit the Promotion website at (the Promotion Website or Website ) and input the PIN as it appears on the game card received. Upon entering, customers are entered into the chance to win one of 56 daily prizes of $100 pre-paid credit card and the grand prize of $5,000. There is no limit of entries per customer. 1. NO PURCHASE NECESSARY To obtain a Wok of Fortune Game Card without making a purchase, send a written request containing a pre-addressed reply envelope to: 10 Disera Drive, Suite 260, Thornhill, Ontario, Canada L4J 0A7. Requests must be received by end of business on October 16, 2016 and must include a valid address. Limit of one request per person per separate postage stamped envelope throughout the Promotion Period, while supplies last. Mail in requests received between October 9-16, 2016 with a valid address will only receive a PIN number by , while supplies last. Manchu WOK and/or Tag Franchise (hereinafter the agent ) are not responsible for lost, late, misdirected, damaged, illegible or postage due mail requests or deliveries. 2. PROMOTION PERIOD Promotion entry begins at 12:00:01 a.m. (ET) on August 22, 2016 and ends at 11:59:59 p.m. (ET) on October 16, :59:59 p.m. (the Promotion Entry Period ). Sponsor's computer is the official time-keeping device for the Promotion. 3. GAME CARD DISTRIBUTION A total of approximately 875,000 promotion game cards have been printed for this promotion. Promotion game cards will be distributed to all participating Manchu WOK locations in Canada on a percentage basis calculated upon the historical sales volume for each respective location. Once all promotion game cards have been distributed, no additional promotion game cards will be available. 4. ELIGIBILITY - 1 -

3 The Promotion is open to persons who are, at the time of entry, the age of majority or over in their jurisdiction of residence at the date of entry and legal residents of Canada. Void where prohibited by law. Employees of the Sponsor, its franchisees, its affiliated companies or agents, their respective advertising or promotional agencies, its media sponsors, or the third parties engaged by Sponsor to assist it in administering the Promotion or a member of any such employee s immediate family (regardless of where they live) or persons with whom they are domiciled (whether related to the employee or not) are prohibited from participating in the Promotion. In these Promotion Rules, immediate family includes mother, father, brothers, sisters, sons, daughters, partner and/or spouse. 5. HOW TO ENTER To enter the Promotion, visit the Promotion Website located at and follow all the steps to enter the Promotion. All entries must be submitted during the Promotion Entry Period (August 22, 2016 to October 16, 2016). Customers will be required to accept the Promotion Rules prior to entering (which customers will have the opportunity to review). A person whose entry is accepted by the Sponsor is referred to herein as an "Entrant". There is no limit of entries per person. All entries must include a valid address. In the event of a dispute, entries received on-line shall be deemed to be submitted by the "Authorized Account Holder" of the address submitted at the time of entry. "Authorized Account Holder" is defined as the natural person who is assigned to an address by an internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning addresses for the domain associated with the submitted address. 6. PRIZES A. Grand Prize: There is one (1) Grand Prize available. The prize is an MTY Group cheque in the amount of $5,000 CND. The Grand Prize consists of the following: 1. a $5,000 MTY GROUP cheque Grand Prize consists only of items specifically listed as part of the Grand Prize. Certain conditions and restrictions may apply. All costs and expenses not specified herein, related to any prize or incurred by accepting a prize, are the sole responsibility of the winner. Sponsor reserves the right to photograph and film portions of the Grand Prize acceptance for use in all marketing and promotional materials in any and all media venues now or hereafter known. Plus, the winner will be posted on Sponsor social media outlets and in other marketing materials as Sponsor sees fit. Entrants agree that Sponsor may use the winner's name, likeness, statements and any related video footage for any purpose - 2 -

4 whatsoever but Sponsor is not required to reproduce or display any images or videos of any winner in any media. Sponsor owns all rights in any photos or video footage of winner and may use such photos and videos, or any portion thereof, in any form or medium now or hereafter known in perpetuity without any further compensation to, or consent from, winner. B. Daily Prizes: 56 Prizes: Throughout the Promotion Entry Period, winners will be chosen daily to receive prizes valued at $100 CND per prize (Total ARV $5,600 CND). Daily Prizes will be pre-paid credit cards. Daily Prizes will be shipped to winners approximately one (1) to two (2) weeks after Sponsor confirms that selected entrant has correctly answered a mathematical skill-testing question and signed and returned the standard release form releasing the Sponsor from all liability. There is no limit of Daily Prizes per Entrant. All prizes must be accepted as awarded without substitution and are not transferable, not for resale and have no cash surrender value. The Sponsor reserves the right, in the event that a prize cannot be awarded as described for any reason whatsoever, to substitute another prize of equal or lesser value. Once awarded to a winner, the Sponsor shall have no liability whatsoever for the prize or the use of the prize by the winner. 7. ODDS OF WINNING Odds of winning are dependent on the number of online entries received for each random draw. 8. WINNER SELECTION A. Grand Prize: The Grand Prize winner will be chosen at random from all valid entries received during the Promotion Entry Period on October 20, B. Daily Prizes: Daily Prize winners will be chosen at random at 10:00:00 a.m. ET from all valid entries received by 11:59:59 p.m. of the day before the date of each Daily Prize draw. Unselected entries are not eligible for subsequent Daily Prizes but are eligible for the Grand Prize draw. The first Daily Prize draw will be conducted on August 23, 2016 from all valid entries received during the Daily Prize Entry Period (as outline below) up until the end of the promotion. 7 9. REDEMPTION OF PRIZES RULES All Daily Prizes and Grand Prize must be claimed by the close of business November 30, The Grand Prize draw will be conducted on October 20, 2016 at 10:00:00 a.m. ET. The draw will be held by Manchu WOK s agent. The winner will be randomly selected by computer from the pool of participants that have registered for the Wok of Fortune 2016 Contest. The potential winner will be contacted by and by telephone to advise them of their prize and to confirm that they are qualified to win the Grand Prize. If the potential winner does not qualify, an alternate winner will be randomly selected by computer from the remaining pool of participants that have registered for an opportunity to win a Grand Prize. Any costs associated with acceptance of any prize and/or uses not specified in the promotion rules are the winner s responsibility

8 Announcement, Contacting of Winners; Skill-testing Question; Prize Delivery Sponsor will attempt to contact each potential winner of a prize by or telephone within three (3) business days of being selected. If a potential winner (a) cannot be reached by mail or telephone within three (3) business days of being selected; (b) fails to correctly answer the mathematical skill testing question (see below); or (c) fails to return any requested properly executed release form within the specified time (see below), then he/she will be disqualified and another potential winner may be selected from among the eligible Entrants until such time as a winner is declared or there are no more eligible Entrants. The Sponsor will not be responsible for failed attempts to contact a potential winner. To be declared a winner, each selected Entrant must sign and return a Declaration and Release Documents as described below. To be a declared winner, each selected Entrant must also correctly answer, without assistance of any kind, whether mechanical or otherwise, a mathematical skill testing question posed by telephone. The agent will mail the Daily Prizes to the addresses provided by each daily winner. The Sponsor and/or the agent are not responsible for lost, late, misdirected, damaged, incorrect mailing address or returned mail prize envelopes. 10. DECLARATION AND RELEASE DOCUMENTS Before being awarded a prize, each potential winner and any applicable companion will be required to sign and return within the time stipulated by the Sponsor, a declaration and release form stating that (i) he/she has read and understood the Promotion Rules, (ii) grants all consents required, (iii) authorizes the Sponsor to broadcast, publish and disseminate his/her name, city of residence, photograph, likeness, sobriquet, voice and essay in connection with any promotion or publicity, and/or for general news, entertainment and information purposes at no additional compensation to the potential winner beyond the awarding of the Prize, (iv) accepts the Prize as offered (where applicable), and (v) releasing the Sponsor, (and their affiliated and related companies, advertising and promotional agencies, the parties engaged by Sponsor to assist it in administering the Promotion and their respective shareholders, directors, officers, employees, agents, representatives, successors and assigns) from any liability in connection with a prize or this Promotion. In the event that a potential winner does not comply with one or more of the Promotion Rules, the Sponsor will have the right to disqualify that potential winner, and select an alternate winner at random based on the eligible entries received at the time of the applicable drawing, and the Sponsor shall be fully and completely released and discharged from any liability or responsibility in this regard

9 The provisions and procedures referred to above relating to selection and notification of a potential winner, if applicable, may be applied, with the necessary amendments, until a qualified winner has been duly selected. 11. GENERAL (i) By entering this Promotion, Entrants agree to abide by the Promotion Rules. The decisions of the Sponsor, and the third parties it has engaged to assist it in administering the Promotion, with respect to all aspects of the Promotion are final. (ii) The Sponsor and its agents accept no responsibility for loss, damage or claims caused by or resulting from the Promotion or any prize associated with this Promotion, including but not limited to death or property damage due, in whole or in part, directly or indirectly to the acceptance, use, or misuse of a prize, travel or other activities related to ant prize, participation in any Promotion-related activity, or participation in the Promotion. (iii) The Sponsor and its agents will not be responsible for late, lost, illegible, incomplete or destroyed Submissions; all such entries are void. The Sponsor and its agents will not be liable for any failure of the Promotion Website, do not assume any responsibility for incorrect or inaccurate capture of entry information, technical malfunctions, human or technical error, printing errors, lost, delayed or garbled data or transmissions, omission, interruption, deletion, defect or failures of any telephone or computer lines or networks, computer equipment, software or any combination thereof. Entry material/data that have been tampered with or altered are void. In the event it is determined that an Entrant has entered in a fashion not sanctioned by the Promotion Rules and/or has submitted more than the number of entries permitted by the Promotion Rules, the Entrant will be disqualified and all of the entries submitted by the Entrant will be disqualified. Sponsor reserves the right to void all entries made though any robotic, automatic, mechanical, programmed or similar entry duplication method. (iv) The Sponsor reserves the right, subject to the approval of the Regie des alcools, des courses et des jeux ( RACJ ) to terminate or amend this Promotion at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Promotion is not capable of running as originally planned, as a result of tampering, infection by computer virus, events beyond Sponsor s reasonable control, etc., the Sponsor reserves the right, in its sole discretion, subject to the approval of the RACJ, to abbreviate, modify, suspend, cancel or terminate the Promotion without notice or further obligation. If the Sponsor, in its discretion, elects to abbreviate the Promotion as a result of such event, the Sponsor reserves the right, but shall have no obligation, to award prizes from among all valid and eligible entries received up to the time of such event. The Sponsor and any independent Promotion organization shall not be held responsible for any problems, errors or negligence that may arise or occur in connection with the Promotion, including, but not limited to, any damage to an Entrant s computer equipment, system, software or any combination thereof, as a result of the Entrant s participation in this Promotion

(vi) The Sponsor respects your right to privacy. In addition, in making a Submission, you acknowledge and agree that your name and city of residence may be used (together with the Submission itself) on the Promotion Website and in other media at Sponsor s sole discretion without any further compensation to you.
