North Hills School District educates more than 4,200 students who reside in Ross Township and West View Borough, located just north of Pittsburgh. The district recently completed a long-term facilities plan that saw the renovation, enhancement and upgrade of four district buildings to cutting-edge educational environments with the latest in technology and academic resources. North Hills School District boasts a rigorous curriculum including more than 30 Advanced Placement courses and eight College-in-High School courses that routinely prepare students to be nationally recognized for their high-ranking abilities. North Hills has National Merit Scholarship inalists, championship sports teams, awarding-winning musicals and one of the highest numbers of National Board Certi ied Teachers, who have undergone a rigorous assessment process, in the state. More than 90 percent of recent graduates are pursuing higher academic degrees at noted institutions.

8 EVENT PARTNER A variety of academic, athletic and arts events are available for sponsorships and donations throughout the district on an annual basis such as our annual Arts Alive student artwork celebration, Homecoming, Graduation, Senior Prom, Awards Night, Curriculum Night, Drama Productions, Athletic Events and many more. At each event, your company name and logo will be a focal point to be viewed by thousands of attendees, making known your commitment to quality education in your community. 9 PUBLICATIONS ADVERTISE SPONSOR IN DISTRICT COMMUNICATIONS North Hills School District utilizes various outlets to alert families to district news and events such as weekly e-newsletters, a smartphone and tablet app, yearly district calendar and annual report, website, biannual report cards, programs of study, student handbooks, numerous brochures and a digital information sign among others. Each communication is received and read by thousands of area families creating a direct connection to consumers for your business or organization not available from any other source. 10 TERMS & CONDITIONS 1. Terms: The term of this Sponsorship ( the Term ), shall run from the date of the signature on the insertion order through the current iscal year (July 1). By signing the insertion order and submitting sponsorship contributions, Sponsor agrees to all Terms and Conditions of Sponsorship. 2. Sponsorship Fee: Sponsor will pay the North Hills Foundation a sponsorship fee and/or donation of equipment or products equivalent to the Sponsorship level indicated on insertion order. Payment must be submitted by the date agreed upon by both parties. 3. Sponsorship/Non-exclusivity: Sponsor acknowledges and agrees that the Sponsor is not the sole or exclusive Sponsor of any particular event, and that North Hills Foundation shall be entitled to permit other persons or entities to act as Sponsors of the Event, Activities and/or Program and that North Hills School District Foundation shall be entitled to permit other persons or entities to act as Sponsors of the Event, Activities and/or Program, or to refrain therefrom, in its sole discretion. 4. Sponsor s Promotional Entitlement: Sponsor s promotional entitlements are outlined according to level of sponsorship. Sponsor s promotional entitlement is null and void if sponsorship requirements are not met as outlined in this document. 5. North Hills School District Use of Sponsor s Materials: Except as expressly set forth herein, North Hills School District shall have the right, but not the obligation, to use the Mark and any other trade-name(s), trademarks and/or logos of Sponsor in connection with (1) any and all advertising; (2) all merchandise created and sold or otherwise distributed by North Hills School District; (3) any photo records and/or audiovisual works, including (without limitation) footage from North Hills School District events and (4) any and all news items, press releases, and/or other information in any media relating to the sponsorship. 6. Warrantees/Representation/Indemnity/Insurances: Each party represents and warrants that it has the right, power and authority to enter into this Sponsorship, to grant the rights granted in the Sponsorship and to perform the duties and obligations describing the Sponsorship. 7. Miscellaneous: a. Sponsor acknowledges that all rights in and to North Hills School District, North Hills School District s name and logo, the name and logo of the company s brands, and all artwork, trademarks, service marks, and all goodwill associated therewith shall be owned and controlled exclusively by North Hills School District, and Sponsor shall have no right, title or interest therein or thereto. Similarly, North Hills School District acknowledges that all rights in and to both of the Marks and all other trademarks owned by the Sponsor, including but not limited to, the name and logos of the Sponsor and all artwork, trademarks, service marks and all goodwill associated therewith shall be owned and controlled exclusively by Sponsor, and North Hills School District shall have no right, title or interest therein or thereto. b. If any provision of this Sponsorship is declared invalid as contrary to law or public policy, the remaining provisions hereof shall continue to remain in full force and effect. c. The validity, enforceability and interpretation of this Sponsorship shall be determined in accordance with the laws of the Commonwealth of Pennsylvania. d. A waiver of a breach or default will not constitute a waiver of any terms or conditions of this Sponsorship or an subsequent similar breach or default. e. Except as otherwise provided in this Sponsorship, no representations, warranties or guarantees of either party not contained in this Sponsorship shall be binding on the parties. f. This Sponsorship constitutes the complete agreement between the parties hereto on the subject matter hereof, and all prior or contemporaneous agreements between the parties, whether oral or written, shall be deemed herein. This Sponsorship may not be modi ied or amended except by a written instrument duly executed by the party to be charged.
