3 Grupo Indukern: a strong group in continuous expansion Grupo Indukern was created in 1962 as a small, family-run business. Its founder José Luis Díaz-Varela, an entrepreneur with an international vision, chose to base the company in Barcelona, a port city, with considerable industrial infrastructure and a strong presence in the chemical, pharmaceutical and veterinary industries. The business originally focused on the distribution of chemical products with a clear mission to become a leading company thanks to its excellent production processes and prime quality products. Grupo Indukern currently comprises three main companies: Indukern, global distributor of chemical products and associated services; Calier, focused on the development, manufacture and marketing of products for veterinary use, and Kern Pharma, a diversified pharmaceutical laboratory that operates in generic medicine, self-care products, biosimilar products and production for other companies. Grupo Indukern s turnover currently reaches 692 million, with more than 1,600 employees worldwide, subsidiaries in 19 different countries and products marketed in over 70. 4 Indukern, global leader in fine chemical distribution Indukern is the embryo of what is today known as Grupo Indukern. It is currently a key player in the areas of fine chemistry marketing and distribution and associated services, and leader in the Brazilian and Mexican markets. Its activity revolves around three lines of business: As intermediary between suppliers of raw materials and manufacturers of finished products in sectors such as human food, flavourings and fragrances, pharmacy, veterinary and animal nutrition, and industrial chemical products. As representative of some of the leading global manufacturers in the sectors in which it operates. As developer of its own products, which are adapted to meet our clients needs thanks to a profound knowledge of the market, and its technical advice services. Indukern s turnover reaches 444 million. International operations make up 66%, mainly from European countries (35%) and Latin America (28%), and 34% from the national market. With a workforce of over 500 employees, it has subsidiaries in 8 countries: Brazil, China, Colombia, Mexico, Portugal, Russia, Switzerland and Turkey. It is also present in Bulgaria, France, Hungary, Italy, Poland, Czech Republic, Romania, Ukraine, Syria, India and Kenya. Additionally, its presence in China and other developing countries offers it valuable access to certain ingredients, and enables it to provide a wide range of products to global and local clients. The company comprises six divisions: Human Food, Flavourings and Fragrances (F&F), Export, Pharmaceuticals, Veterinary and Industrial Chemistry, and Animal Nutrition. The clear mission in each division is to be more than mere intermediaries in the supply chain; to offer clients company products and associated services as well as significant expertise and extensive penetration in their markets. This new business focus, together with established distribution methods and representation techniques, will become the pillars of growth for Indukern in the coming years, that will enable new market segment penetration and increased international sales. In the distribution sector, logistics is the key to offering a competitive advantage. That is the reason why Indukern provides an extensive infrastructure around the world, to enable them to meet the needs of their clients on a national and international level. In Spain, they have facilities in Burgos, Fuenlabrada (Madrid), Paterna (Valencia), Sentmenat (Barcelona) and the Logistics Activities Area (ZAL) at the Port of Barcelona. They also have facilities in Hamburg (Germany), Jundiaí (Brazil) -the largest logistics platform in Latin America-, Jalisco (Mexico) and Aprelivka (Russia).

Calier, committed to animal health and wellbeing Calier specializes in the research, development, registration and marketing of products for veterinary use. Founded in 1968, it offers therapeutic products, including antibiotics, antiparasitics, hormone activity regulators, nutritional products, cosmetics, immunomodulators, anti-inflammatories and vaccinations. The company offers a total of 100 products for the veterinary sector -in oral and injectable formats- for livestock or pets. Calier s annual turnover in 2014 reached 96 million and it is currently in 2nd place of the Veterindustria ranking for family-owned laboratories. Some 84% of sales correspond to international markets, especially Latin America, which represents 60% of its business. With a workforce of 300 employees, the laboratory has its own factory in Les Franqueses del Vallès (Barcelona) which complies with the regulations of the Good Manufacturing Practices (GMP) and a development and production centre in León. It also has a production centre in Uruguay and manufacturing agreements in Morocco and Argentina. The company has subsidiaries in Germany, Argentina, Colombia, Italy, Morocco, Mexico, Poland, Portugal, Dominican Republic, Uruguay and Venezuela. Its growth strategy includes extending its current product portfolio, continuing to promote its internationalization through organic growth or acquisitions and focusing on the development and marketing of biological products for veterinary use. Calier was the first laboratory in the market to launch an avian vaccination against Salmonella enteritidis entirely developed in Spain, making it one of the pioneers at the forefront of avian biological products.

Kern Pharma, a diversified pharmaceutical laboratory Kern Pharma is a diversified pharmaceutical laboratory providing solutions for patients, to improve their health and quality of life, for doctors and pharmacists through a broad range of medication, while contributing towards the sustainability of the social-health system. It is currently a key player in the market; a leader in the development, manufacturing and marketing of generic drugs. Today, its activity revolves around three main lines of business: Generics: Its generic drug portfolio includes 150 molecules in over 450 formats for 17 therapeutic areas. Some of its products are a reference in the market, such as Paracetamol and Ibuprofeno Kern Pharma. On average, the laboratory launches 25 new medications each year, and has broken its record during the last two years. In 2013, it launched 50 new generics, and in 2014, 31 products and 54 new formats. Kern Pharma Consumer: Under this brand name, the company markets nonprescription drugs, non-financed prescription drugs and self-care products. Kern Pharma Biologics: This division of Kern Pharma is focused on biosimilar medication. The company was the first Spanish laboratory to market the first biosimilar monoclonal antibody (mab) authorized by the European Medicines Agency (EMA) Remsima, thanks to the agreement reached with Korean biopharmaceutical company Celltrion Healthcare. Production for other companies: Kern Pharma has always enjoyed a good relationship with important companies in the sector who have assigned them to manufacture their products.

7 As well as these four business lines, Kern Pharma has two other companies: Gynea Laboratorios women s health and KPS Medical aesthetic medicine and cosmetics. Founded in 1999, Kern Pharma s turnover reaches 171 million. Some 77% corresponds to the national market and 23% to international markets. With a workforce of over 700 employees, the laboratory has a subsidiary in Portugal Pharmakern and trade agreements in markets including France, Holland, Italy and Sweden. Kern Pharma s extensive facilities of 59,000m2 in Terrassa (Barcelona) comprise a production plant, a logistics centre, and chemistry plant, laboratories and an office area. It produces in excess of 100,000,000 units per year, thanks to the sophisticated automated machinery used for the production and distribution of products. This places Kern Pharma in 3rd position in the ranking of manufacturing laboratories of generics in Spain per volume of units, and as trustworthy supplier for recognized companies in the sector who appoint them for the manufacture of their products. The company s growth strategy for the coming years will revolve around their established business lines, that is, generics and manufacture for other companies, in which it aims to maintain its position and increase turnover, as well as consolidate their new divisions, Kern Pharma Consumer and Kern Pharma Biologics. Parallel to this, the laboratory has begun reinforcing its R&D work, an area in which it has great future prospects and which it aims to implement to reinforce the development on new projects.

9 Raúl Díaz-Varela Executive Vice President of Grupo Indukern CEO of Kern Pharma A degree in Business Science, MBA from ESADE and Master in Foreign Trade from the Community of European Management Schools (CEMS) in St. Gallen, Switzerland. He has dedicated his entire career to the family business, within the chemicalpharmaceutical industries at Grupo Indukern, in managerial positions in Industrial Kern Spain, and Indukern in Asia, Switzerland and Hong Kong. Since 1999, the year Kern Pharma was founded, he has directed the pharmaceutical side of the Group. He is president of the AESEG, which governs the generic drug industry in Spain.
