2 Hello, Welcome, and Thank You! New York is the largest city in America and one with an audience looking for a convention to call their own. I m proud we re creating it together with you. Our goals with Anime NYC are simple. To make a strong, vibrant, professional event that s fun, rewarding, and smooth for everyone - fans, guests, and exhibitors. We want you to do well at Anime NYC, and we want to help you succeed. This manual is an overview of the ins-and-outs of Anime NYC, and if you have any questions, don t hesitate to talk to us. Kristin and John (our exhibitor team), Lauren (our operations head), and T3 (our official decorator) are all at the ready pre-show and on-site to assist. Ask us questions. Cost is $70.00 per badge. CONTRACTORS + EXCLUSIVE PROVIDERS T3 is the General Service Contractor of the show and will maintain an Exhibitor Service Center during set-up, show days, and dismantling. All other official show contractors will also be set up in this area. All inquiries regarding booth services and orders should be made at the Exhibitor Service Center, including booth furnishings, labor, freight, utilities, and special show services. 4 MOVE IN / MOVE OUT INFORMATION LEND-A-HAND PROGRAM Anime NYC will have a LEND-A-HAND PROGRAM available for exhibitors in Privately Owned Vehicles (POVs) to move in and out at no charge. Please review ALL of the details on this page, absolutely no exceptions will be made to the guidelines. Questions? LaurenD@leftfieldmedia.com VEHICLES ALLOWED: (POVs): exhibitor owned or rented cars, pick-up trucks, vans, and other vehicles primarily designed for passenger use. Loading and unloading of vehicles is limited to vehicles no larger than an average sprinter type van. Commercial delivery vehicles of all types will be directed to the loading docks. NOT ALLOWED: Box trucks, cube trucks, U-Haul trucks, Ryder trucks, couriers, other large rental vans, and all commercial vehicles of all types are not allowed. Straight trucks, bobtail, contract carriers, and vehicles with trailers are NOT considered POVs. Vehicles with trailers attached are also not permitted in the POV/Lend-A-Hand lane and must also go to the loading dock in the rear of the Exhibit Hall. All materials loaded in/out of the loading dock will be subject to material handling charges. Vehicles must be attended at all times by a licensed driver. There must be someone representing the exhibitor with the vehicle at all times/vehicles left unattended will be towed at exhibitor expense. LEND-A-HAND will take place on the west side of 11 th Avenue (Javits side of the road) between 34 th and 37 th Street. Exhibitors will enter the building through the Crystal Palace, at 11 th and 35 th. The Javits Center will be managing all unloading zones. All vehicles must be parked alongside the curb with hazard lights on at all times. Javits Staff will search all vehicles and issue window plaques. Double parking and parking on the east side of 11 th Avenue are both strictly prohibited. UNLOADING/LOADING: All vehicles are allocated 30 minutes to unload. The time limit is strictly enforced so please have everything packed neatly and ready to unload. During move out, we request that exhibitors pack all exhibit items before staging a vehicle. Exhibitors may use nothing larger than a two-wheeled baggage cart (plastic or rubber wheels only) to move their freight in. Fourwheeled carts are not allowed. Exhibitors may also hand carry their freight in. Hanging clothing racks with four wheels are allowed for moving hanging garments. Pop-up displays, equal or less than 10' in length, capable of being carried by hand by one person may be brought in. PROHIBITED: The following items are strictly prohibited and will result in the exhibitor being redirected to the loading dock where they will be unloaded by Union Labor at their own expense. Any freight moved on equipment larger than a two-wheeled baggage cart, or freight that can t be hand carried by one person. Power tools, ladders, or any other type of carpenter/construction equipment are not permitted in the building, unless specific written approval is obtained in advance. Any freight moved by a moving or Freight Company, contractor, or any persons other than Javits Center freight handlers or direct employees of an exhibiting company engaged in approved hand carry operations. Any freight unloaded from a vehicle larger that an average sprinter type van. LEND-A-HAND MOVE IN HOURS Th., 11/16: 8A 4P Fri., 11/17: 8A 12P LEND-A-HAND MOVE OUT HOURS Su., 11/19: 5P 9P MATERIAL HANDLING Anything coming in through the Loading Dock, inclusive of shipments to the Advanced Warehouse, will be subject to a material handling charge from T3. T3 charges by the pound, with no minimum shipment weights or special handling surcharges. Cost to the Exhibitor: weight of the shipment x $1.90 per lb. This cost includes unloading the materials, storing empty storage, returning empty storage, and loading materials back onto your carrier. Additional details can be found in the Material Handling section of the Exhibitor Kit located on page **. SMALL PACKAGE RATE T3 Expo offers a Small Package Rate for exhibitors. Any shipment with a total weight less than 50 lbs. receives the Small Package Rate. Small Package Shipment Rate for first package: $50.00 Small Package Shipment Rate for each additional package: $25.00 each

5 BOOTH EQUIPMENT ARTIST ALLEY: Each Artist Alley space will be set with [1] 8 x 24 draped table, [2] chairs, a wastebasket, and an identification sign. 10 x10 BOOTH: Each 10' x 10' booth will be set with 8' high BLACK back drape 3' high BLACK side dividers, [1] 8 draped table, [2] chairs, a wastebasket, and an identification sign. CORNER BOOTH: Each corner booth will receive 8 high BLACK back drape, [2] 8 draped tables, [2] chairs, a wastebasket and an identification sign. ** Note: Booth carpeting is not provided with our standard booth equipment. Carpet is available for order through T3. EXHIBITOR INFO + GUIDELINES AGE RESTRICTIONS: Children under the age of 16 are not permitted on the show floor during set up or move out. No exceptions. BAG + WEAPONS CHECK: Anime NYC will be performing bag checks of attendees as well as inspecting and tagging prop weapons with a different zip tie each show day. BOOTH CLEANING: Cleaning crews provide general Exhibit Hall clean up, including aisles, each day before the opening of the show and during show hours. Exhibitors may wipe down their products and display merchandise themselves. If you need cleaning services in your booth vacuuming or trash removal these services must be ordered from the Javits Center. Javits Labor must be hired for booth vacuuming. Details can be found in the Exhibitor Kit. BOOTH FURNISHINGS: Booth equipment, services, and furnishings are available through T3, the General Service Contractor of the show. CARPET: The Exhibit Area is NOT carpeted. Exhibitors who wish to order carpet for their booth may do so through T3. CATERING: Centerplate Catering has exclusive rights to all catering in the facility. Menus and services can be found in Vendor Forms & Guidelines section of the Exhibitor Kit. FOOTPRINT: All items must stay within your allocated booth space. No sign or decorative materials may protrude into the aisles or encroach upon neighboring booths. No obstruction may be placed in any aisle, passageways, lobby, or exit leading to any fire extinguishing appliances. HEIGHT RESTRICTIONS: All booths need to obey a maximum 12' height restriction on displays, signage and product. Booths that are both a minimum of 20'x20' and an island are exempt from this height restriction. Booths must meet both these qualifications. For example, a 10'x40' linear booth is not exempt from this restriction. LEND-A-HAND: We will have a Lend-A-Hand option which allows Exhibitors to move into the facility from their POV at no charge. Additional information can be found on the following page. LOST & FOUND: Will be located in meeting room **, the Security Office. MOVE IN: Load in must be completed by 4PM on Thursday, 11/16. Exhibitors will be permitted to stay in the building and work within their booth space until 10PM. Load in will continue Friday morning from 8A 12P. Set up must be completed by 12:30P. If you have any concerns about move in timing, please LaurenD@leftfieldmedia.com. MOVE OUT / BREAKDOWN: may not begin prior to 5P on Sunday, 11/19. PARKING: Parking is challenging in the areas surrounding the Javits. We strongly recommend that you do not drive to the show. If you do drive, we recommend utilizing spothero.com or bestparking.com to try and find a space in a garage. SECURITY: The Center maintains twenty-four hour security for the perimeter areas and internal patrols. Show Management provides security of the Exhibit Hall, meeting rooms, and all other space within the show footprint. We will also have security dogs roving the interior and exterior of the facility throughout the show. If you would like to arrange booth security, please see the Javits order form regarding security cameras. SET UP: Set up must be completed by 12:30P on Friday, 11/17. SOUND: Sound level of presentation should be kept within the confines of the booth area and must not interfere with neighboring exhibits. Show management will exercise their right to provide and maintain a fair exhibiting environment to all customers. TAX INFORMATION: It is the Exhibitor s responsibility to determine whether or not they are required to register for sales tax and apply for a Certificate of Authority. If you conclude that you have a filing responsibility, you must complete Form DTF-17 and Publication 910 NAICS Codes for Principal Business Activity for New York State Tax Purposes. Publication 910 may be useful in completing Section F (Business Description) of Form DTF-17. Questions regarding the completion of Form DTF-17 can also be resolved by contacting the Sales Tax Taxpayer Contact Center at the NYS Department of Taxation and Finance at between the hours of 8:30A and 4:25P (Eastern Time). For purposes of completing Form DTF-17, please note that Anime NYC show dates are November 17 through November 19, When completing Section F of Form DTF-17, you may want to include in your description that you are exhibiting at a tradeshow. Certificates of Authority should be displayed in your booth during show hours. Please contact the NYS Department of Taxation and Finance or your tax advisor if you have questions regarding the sales tax rate to charge on your sales.

6 EXHIBIT HALL UNLICENSED GOODS POLICY Anime NYC is committed to supporting the best of anime and manga. As such, the sales of unofficial items are not welcome. Our staff and publisher representatives will walk the exhibit hall periodically throughout the weekend, and should either request any item be removed because of a violation of this policy, such products must be immediately removed from display and sold no further. Exhibitors with larger or repeated violations risk being removed from the event without refund, restricted from future editions of Anime NYC, and, in some cases, criminal fines and prosecution. It is the responsibility of every exhibitor to follow this policy, detailed below... Bootlegs All merchandise for sale in the exhibit hall must be officially licensed products. You cannot sell unofficial, unlicensed, or bootleg products. This includes but is not limited to Blu-rays and DVDs Posters and Wall Scrolls Toys and Plush Replicas and Props Costumes and Apparel Jewelry and Accessories Parody Goods and Apparel The sale of parody goods and apparel is allowed providing items are actual parody or otherwise transformative. For example, if it is simply a shirt you have made with Dragon Ball art on it, it s not a parody, and it may be considered bootleg merchandise. Adult content (18+) is not considered parody or otherwise transformative. Fan Art Fan art is allowed for sale in the exhibit hall with the following regulations. The original creator of the fan art MUST be present at your booth. Booth sharing and collectives are allowed, providing each artist is at Anime NYC. 3rd party dealers cannot sell the work of fan artists. The sale of any item which reproduces official artwork is not allowed. You cannot use official poster art, key art, screenshots, logos, or other materials you did not draw yourself. For example, you cannot cannot put a Photoshop filter over official art and call it your own. The sales of any item which reproduces the artwork of other fans is not allowed. You cannot copy another artist s work from DeviantArt or similar sites and call it your own, and you cannot use this artwork as the basis for other fan art.

7 Fan art prints must be paper prints. Fan art that is printed on metal, wood, cloth, etc. may be considered bootleg merchandise. Do not make buttons, pins, bags, bookmarks, pillows, keychains, wall scrolls, mouse pads, T-Shirts, charms, etc. with fan art. Fan art that is in any of these forms or otherwise mass-produced fan art may be considered bootleg merchandise. Fan art that depicts licensed characters in adult situations (18+) is not allowed. Homemade Items and Fan Crafts Homemade items and fan crafts are allowed for sale in the exhibit hall with the following regulations. The original creator of the fan craft MUST be present at your booth. Booth sharing and collectives are allowed, providing each artist is at Anime NYC. 3rd party dealers cannot sell the work of fan crafters. Fan crafts must be handmade and cannot be mass-produced. Fan crafts cannot replicate any officially licensed items for sale in the US or Japan. This includes costumes, apparel, plush, accessories, and props. Such items may be considered bootleg merchandise. The sale of any item which reproduces official artwork is not allowed. You cannot use official poster art, key art, screenshots, logos, or other materials you did not create yourself. This includes making vinyl stickers, jewelry, charms, phone cases, embroidered patches, or metal, glass, or acrylic engravings with logos or official art. Such items may be considered bootleg merchandise. Do not make buttons, pins, bags, bookmarks, pillows, keychains, wall scrolls, mouse pads, T-Shirts, charms, etc. with fan art. Fan art that is in any of these forms or otherwise mass-produced fan art may be considered bootleg merchandise. Fan art that depicts licensed characters in adult situations (18+) is not allowed. Doujinshi The sale of Japanese doujinshi are allowed and do not fall under the unlicensed goods policy. ARTIST ALLEY FAN ART AND FAN CRAFT POLICY Anime NYC welcomes artists from around the world, and we want to celebrate fans of anime, manga, and their artistry. We encourage original prints, crafts, comics, etc, but please read this policy to assure your table follows our guidelines. Should a staff member or publisher representative ask you to remove any item from display and sale, you must do so immediately. Failure to follow this policy puts you at risk of being removed from the event without refund, restricted from future editions of Anime NYC, and, in some cases, criminal fines and prosecution You are allowed to exhibit in Artist Alley with both art featuring characters of your own creation as well as fan art and fan crafts based on anime, manga, and pop culture

8 series. We define fan art and fan crafts as original work you have created based on licensed, copyrighted material and characters. The sales of any item which reproduces official artwork is not allowed. You cannot use official poster art, key art, screenshots, logos, or other materials you did not draw yourself. This includes making buttons, pins, bags, keychains, etc. with official art. The sale of any item which reproduces the artwork of other fans is not allowed. For example, you cannot copy another artist s work from DeviantArt or similar sites and call it your own, and you cannot use this artwork as the basis for other fan art or fan crafts. Do not trace, copy, or place Photoshop filters over any art you didn t create. The alteration or modification of an existing work is not considered an original work. The original creator of the fan art must be present at your Artist Alley table. Booth sharing and collectives are allowed, providing each artist is at Anime NYC. 3rd party dealers cannot sell the work of fan artists. Mass-produced fan art and fan crafts are not allowed. While artists are allowed to sell buttons, pins, bookmarks, keychains, and apparel, all must be limited in nature. Mass-produced fan art and fan crafts may be considered bootleg merchandise and subject to removal.

14 Anime NYC Jacob Javits Convention Center November 17-19, 2017 New York, NY PRE SHOW CHECKLIST Review the entire Exhibitor Service Kit Read the Terms & Conditions (see pages 45-46) Arrange inbound freight/material handling: Advance Shipping: If you ship to the Advance Warehouse your freight will be in your booth for the first day of set-up. (Timing/facility availability beyond the control of T3 Expo may result in Overtime charges.) Check the Late to Warehouse date; freight received after this date will incur a surcharge. The Advance Warehouse cannot accept loose/unpackaged items. Shipping crates, fiber cases, cartons, and pallets are acceptable. Direct Shipping: If you ship Direct to Show Site note the dates that shipments can be received. Shipments arriving before these dates will be refused. Freight arriving on Saturday, Sunday, before 8:00am/after 4:30pm Monday Friday, or on Union holidays will incur Overtime surcharges. Fill out the Material Handling form to estimate your costs and submit it with the Payment Information form. Material Handling is a round trip charge. Clearly label your freight with your company name, booth number, show name and address (label templates are included in this kit). Bring copies of all shipping documents with you to show site. If applicable, order Booth Packages and Options Order Graphics/Signage and submit artwork See the Artwork Submission Guidelines pages in this kit for format information and submission details. You will receive instructions via on how to submit artwork after payment is received. Order booth Furniture & Accessories There are forms in this kit with many options to enhance the look of your exhibit. Discount Price Deadlines are noted on the forms. Order T3 Installation & Dismantle Labor, and/or submit EAC forms Venues have different Union regulations; review the Labor Guidelines page to determine if you need to hire labor to set-up/teardown your exhibit properties. If you are using a company other than T3 you must submit the Notification of Intent to Use EAC form at least 30 days prior to the first day of exhibitor move-in. Order Additional/Ancillary Services There are forms in this kit for other services, such Cleaning, Accessible Storage, Sign Hanging, Electricity, Audio Visual and Internet. Some of these services are provided by vendors other than T3; be sure to submit forms and payments to the proper vendors. Submit your orders with payment (REQUIRED) Orders received without payment cannot be processed. We accept MasterCard, Visa, American Express, company check, money order and wire transfer. There is a processing fee for wire transfers. Arrange outbound shipping Before the end of the event, visit the T3 Service Desk to pick up your Material Handling Agreement(s). You need a separate MHA for each outbound shipping destination. Material Handling Agreements will not be distributed until account is paid in full. There will be show carriers on-site for air and ground service. If you are using your own carrier you must schedule them in advance to pick up your shipment(s). Note the Carrier Check-In date/time on the Show Schedule form. If your carrier does not check in by the date/time listed your freight will be rerouted onto the show carrier at your expense. Booth set-up If you are using T3 Expo installation Labor you must go to the T3 Service Desk to inform us that you are ready for your labor. Installation/Dismantle Labor start time is only guaranteed when ordered for 8:00am. Once your booth is set up, tag your empty containers with Empty stickers. Pick up Empty stickers at the T3 Service Desk. Arrange outbound shipping Before the end of the event, visit the T3 Service Desk to pick up your Material Handling Agreement(s). You need a separate MHA for each outbound shipping destination. Material Handling Agreements will not be distributed until account is paid in full. There will be show carriers on-site for air and ground service. If you are using your own carrier you must schedule them in advance to pick up your shipment(s). Note the Carrier Check-In date/time on the Show Schedule form. If your carrier doesn t check in by the date/time listed your freight will be rerouted onto a show carrier at your expense. Uncrated - Material that is shipped loose or pad-wrapped, and/or unskidded machinery without proper lifting bars or hooks. The Advance Warehouse is not able to accept loose/unpackaged pieces. Shipping crates, fibers, cartons and pallets are ok. Small Package - A shipment of any number of pieces with a combined weight of 1-50 lbs that is received on the same day, from the same shipper and delivered by the same carrier at the same time. Additional Fees May be Applicable Late to Warehouse Fee: Shipments arriving after Monday, November 13, 2017 will be charged an additional 30%. Overtime/Double Time Shipments Returned to Warehouse: Shipments returned to the warehouse at close of the show will be charged an additional 30% per pound. Shipments not picked up from the warehouse within 72 hours will be charged for storage. Overtime is before 8:00 a.m. and after 4:30 p.m., Monday through Friday, and all day Saturday. DEFINITIONS. For purposes of this contract, T3 means T3 Expo, LLC. and their employees, agents, directors and assigns, affiliated companies, related entities including but not limited to any subcontractors T3 may appoint. In addition T3 shall not be responsible for crates and packaging which are unsuitable for handling, in poor condition, or having prior damage. Empty container labels will be available at the show site service desk. Affixing labels to the containers is the sole responsibility of EXHIBITOR or his/her representative. All Material Handling Agreements submitted to T3 by EXHIBITOR will be checked at the time of pickup from the booth and corrections will be made where discrepancies exist between the quantities of items on any Agreement submitted to T3 and the actual count of such items in the booth at the time of pickup. 6. DELIVERY TO THE CARRIER FOR RELOADING. T3 WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, THEFT, OR DISAPPEARANCE OF EXHIBITOR S MATERIALS AFTER SAME HAVE BEEN DELIVERED TO EXHIBITOR S APPOINTED CARRIER, SHIPPER, OR AGENT FOR TRANSPORTATION AFTER THE EVENT, INCLUDING A T3 DESIGNATED CARRIER IN ACCORDANCE WITH SECTION 7 BELOW. T3 loads the materials onto the carrier under directions from the carrier or driver of that same carrier. Any reloading into the carrier will be understood to be under the exclusive supervision and control of the carrier or driver of that carrier. T3 ASSUMES NO RESPONSIBILITY FOR LOSS, DAMAGE, THEFT OR DISAPPEARANCE OF EXHIBITOR S MATERIALS THAT ARISE OUT OF IMPROPERLY LOADED MATERIALS. 7. DESIGNATED CARRIERS. In order to expedite removal of materials from the show site, T3 shall have the authority to change designated carriers if the carrier designated by the EXHIBITOR does not pick up the shipment(s) in time. Where no disposition is made by EXHIBITOR, materials may be taken to a warehouse to await EXHIBITORS shipping instructions and EXHIBITOR agrees to be responsible for charges relating to such rerouting and handling. IN NO EVENT SHALL T3 BE RESPONSIBLE OR LIABLE FOR ANY LOSS RESULTING FROM SUCH REROUTING DESIGNATION. EXHIBITOR hereby understands and agrees that the carrier s terms and conditions apply to their shipment once the materials have been accepted by said carrier. It is the responsibility of the EXHIBITOR to familiarize himself/herself with these Terms and Conditions T3 WILL NOT BE RESPONSIBLE OR LIABLE FOR FAILURE TO PROVIDE THESE CARRIER TERMS AND CONDITIONS TO THE EXHIBITOR. 8. T3 S RESPONSIBILITIES. T3 shall be responsible only for those services which it directly provides. T3 assumes no responsibility for any persons, parties, or other contracting firms not under T3 s direct supervision and control. T3 shall not be responsible for loss, delay or damage due to strike lockouts, work stoppages, natural elements, vandalism, civil disturbances, power failure, explosion, acts of terrorism or war, other causes beyond T3 s reasonable control nor for ordinary wear & tear in the handling of materials. Any insurance shall be obtained by EXHIBITOR in amounts and for perils determined by EXHIBITOR. EXHIBITOR agrees to provide T3 with a release and waiver of subrogation to the extent of any insurance settlement received. 10. CLAIM(S) FOR LOSS. EXHIBITOR agrees that any and all claims for loss or damage must be submitted to T3 immediately at the show site and in any case not later than thirty (30) business days after the conclusion of the show or exposition. (For purposes of claim reporting, the conclusion of the show shall be construed as the time when EXHIBITOR S materials are delivered to the carrier for transportation from the show site or from T3 s warehouse.) All claims reported after thirty (30) business days will be rejected. In no event shall a suit or action be brought against T3 more than one year after the date of loss or damage occurred. a. PAYMENT FOR SERVICES MAY NOT BE WITHHELD. In the event of any dispute between the EXHIBITOR and T3 relative to any loss, damage, or claim, such EXHIBITOR shall not be entitled to and shall not withhold payment, or any partial payment, due to T3 for its services, as an offset against the amount of any alleged loss or damage. Any claims against T3 shall be considered a separate transaction, and shall be resolved on its own merits. b. MAXIMUM RECOVERY. THE DECLARED VALUE DOES NOT APPLY TO THE SERVICES PROVIDED BY T3 if found liable for any loss. T3 s sole and exclusive MAXIMUM liability for loss or damage to EXHIBITOR S materials and EXHIBITOR S sole and exclusive remedy is limited to repair or replacement with like kind and quality, subject to a dollar amount limited equal to the amount paid by EXHIBITOR to T3 for Material Handling services during the show or exposition under this contract. c. BREACH OF CONTRACT AND/OR NEGLIGENCE. T3 s liability shall be limited to any loss or damage which results solely from T3 s NEGLIGENCE in the actual physical handling of the items comprising EXHIBITOR S shipment(s) OR which results from BREACH OF THIS CONTRACT and not for any other type of loss or damage. In no event shall T3 be liable to the EXHIBITOR or to any other party for special, collateral, exemplary, indirect, incidental, or consequential damages, whether such damages occur either prior to, subsequent to, or are alleged as a result of tortuous conduct, failure of the equipment or services of T3 or breach of any of the provisions of this agreement regardless of the form of action, whether in contract or in tort, including strict liability and negligence, even if T3 has been advised or has notice of the possibility of such damages or for any damages caused by EXHIBITOR S failure to perform EXHIBITOR s responsibilities. Such excluded damages include but are not limited to: loss of profits, loss of use or interruption of business, or other consequential or indirect economic loss(s). ITS CONFLICT OF LAWS AND RULES. EXCLUSIVE VENUE FOR ALL DISPUTES ARISING OUT OF OR RELATING TO THIS CONTRACT SHALL RESIDE IN A COURT OF COMPETENT JURISDICTION IN PLYMOUTH COUNTY, MASSACHUSETTS. 12. INDEMNIFICATION. EXHIBITOR agrees to indemnify, forever hold harmless and defend T3 and their employees, directors, officers and agents from and against any and all demands, claims, causes of action, fines, penalties, damages (including consequential), liabilities, judgments and expenses (including but not limited to reasonable attorneys fees and investigation costs) on account of personal injury or death, damage to or loss of property or profits arising out of or contributed to, by any of the following: EXHIBITOR S negligent supervision of any labor secured through T3 or the negligent supervision of such labor by any of EXHIBITORS employees, agents, representatives, customers, invitees and/or any Exhibitor Appointed Contractor (EAC). EXHIBITOR S negligence, willful misconduct, or deliberate act, or the negligence, willful misconduct, or deliberate act of EXHIBITOR S employees, agents, representatives, customers, invitees, and/or any Exhibitor Appointed Contractor (EAC) at the show or exposition to which this contract relates, including but not limited to the misuse, improper use, unauthorized alteration, or negligent handling of T3 s equipment. EXHIBITOR S violation of Federal State, County or Local ordinances. EXHIBITOR S violation of Show Regulations and/or Rules as published and set forth by Facility and/or Show Management. 13.WAIVER AND RELEASE. EXHIBITOR, as a material part of the consideration to T3 for services, waives and releases all claims against T3 with respect to all matters for which T3 disclaimed liability pursuant to the provisions of this Agreement. 14. MISCELLANEOUS. EXHIBITOR, as a material part of the consideration to T3 for material handling services, waives and releases all claims against T3, its employees, agents, directors and officers with respect to all matters for which T3 has disclaimed liability pursuant to the provisions of this contract. The EXHIBITOR acknowledges that he or she has read this agreement, understands it and agrees to be bound by its terms, and further agrees that it is the complete and exclusive agreement between the parties. The invalidity or unenforceability of any provision hereof shall not affect, modify, or impair the validity and enforceability of all other provisions herein. 11. JURISDICTION. 47 Anime NYC Jacob Javits Convention Center November 17-19, 2017 New York, NY UNITED STATES FIRE DEPARTMENT REGULATIONS For Exhibits, Exhibitions, Displays and Trade Shows - Public & Private Booth Construction - Booths, platforms and space dividers shall be of materials that are flame-retardant or rendered so, satisfactory to the Fire Department representatives. Coverings for counters or tables used within or as a part of the booth shall be flame-retardant. All electrical wiring and apparatus will be of a 3-wire UL approved type. Fire Department - A permit shall be required for the following: 1) Display and operate any heater, barbecue, heat-producing or open flame device, candles, lamps, lanterns, torches, etc. 2) Display or operate any electrical, mechanical, or chemical device which may be deemed hazardous by the Fire Department. 3) Use or storage of inflammable liquids and dangerous chemicals. 4) Display any internal combustion engine (special requirements available upon request). 5) Use of compressed gases. (Permit available for 32CF bottles 1 2 full or less). Obstructions - Aisles and exits, as designated on approved show plans, shall be kept clean, clear and free of obstacles. Booth construction shall be substantial and fixed in position in specified areas for the duration of the show. Easels, signs, etc., shall not be placed beyond the booth area into aisles. Firefighting equipment shall be provided and maintained in accessible, easily seen locations and may be required to be posted with designating signs. Fire-Retardant Treatment - All decorations, drapes, signs, banners, acoustical materials, cotton, paper, hay straw, moss, split bamboo, plastic cloth, and similar materials shall be flame-retardant to the satisfaction of the Fire Department. Booth identification banners and signs shall be flame-retardant unless smaller than 1232 square inches (28 x 44 ) if separated from other combustibles by a minimum of 12 horizontally and 24 vertically. Oilcloth, tarpaper, nylon and certain other plastic materials cannot be made flame-retardant, and their use is prohibited. Combustibles - Literature on display shall be limited to reasonable quantities (one-day supply). Reserve supplies shall be kept in closed containers and stored in a neat and compact manner in a location approved by the Fire Department. All exhibit and display empty cartons must be stored in an approved drayage area. If show is under a 24-hour approved manned security program, automobiles are allowed to retain 1 gallon or less of fuel, and gas caps must be taped. Batteries are to be disconnected and taped. 48 Anime NYC Jacob Javits Convention Center November 17-19, 2017 New York, NY NEW YORK LABOR GUIDELINES Freight Union Teamsters handle the freight at the exhibit hall. They unload trucks or vehicles and deliver materials to and from the booths (drayage). They also provide rigging of machinery, moving services and spot machinery in your booth. They also handle rigging. The normal rigging crew consists of two men and a forklift. Booth Labor Carpenters handle the erection and dismantling of all exhibits and displays. Carpenters uncrate and re-crate machinery or equipment. They also install all pipe and drape, skirting, all flooring, such as carpeting, and assembly of all non-lighted signs. Electrical Electricians handle all electrical work. This includes supplying power lines to your booth, connecting equipment to outlets, and installing signs or headers that are lighted unless they are permanently attached to the exhibit back wall. You may not lay your own internet wires or plug anything into an outlet. If your booth is a or smaller, you may install & dismantle your own exhibit provided you meet these requirements: 1. The Set-up can be accomplished in 1/2 hour or less. 2. No tools are required. 3. Individuals performing the work must be full-time employees of the exhibiting company and cary identification to verify this fact. Exhibitors are allowed to unpack and repack their own product (if it is cartons, not crates). 84 JAVITS CENTER ANNOUNCES NEW CAMERA SYSTEM ALLOWING CUSTOMERS TO VIEW EXHIBITS REMOTELY FROM MOBILE DEVICES The Javits Center has announced the launch of a new camera system that allows customers to view their exhibits in real time from a mobile app on their personal devices. Under the program, customers operating an exhibit at the Javits Center can purchase the installation of high-definition cameras that provide live-stream aerial footage of their exhibit, enabling them to assess sales activity, the level of customer engagement and the impact of product placement. Live-stream footage from each camera installed and maintained by Javits Center staff will be available to customers 24 hours a day by downloading a free mobile app on their device. Installation & Removal Work: With some exceptions, no one other than JKJCCdesignated personnel can perform the services or make electrical and other connections or install/remove equipment, cable, fixtures or related materials for these services. Please consult Event Management or JKJCC personnel for additional information. 6. Permanent building utility outlets are not part of booth space and are not to be used by exhibitors. 7. Unless otherwise directed, JKJCC personnel are authorized to cut floor coverings to permit installation of service. 8. JKJCC is not responsible for voltage fluctuations, power failures or interruptions of service. 9. Equipment & Materials: a. Unless otherwise noted, all material and equipment furnished and/or installed by JKJCC for services shall remain the property of JKJCC and shall be removed by JKJCC at the close of the event. Please consult Event Management or the JKJCC Service Desk for additional information b. When applicable (e.g. certain technology services), Customer must pick up equipment, instructions and related materials at the JKJCC Electrical Service Desk and return all equipment and related materials to the JKJCC Electrical Service Desk prior to leaving the facility at the end of the event. c. Customer shall be liable for any loss or damage to equipment owned by JKJCC arising from Customer's negligence, intentional act, unauthorized maintenance, and failure to return equipment or other cause within the reasonable control of Customer, its representatives, employees, agents, or invitees. In the event of any loss or damage to the equipment for which Customer is liable, Customer shall reimburse JKJCC for the reasonable cost of repair or replacement. This includes, but is not limited to, the replacement costs established by JKJCC for failing to return technology equipment to the JKJCC Electrical Service Desk prior to leaving the facility at the end of the event. 10. Limitation of Liability: a. JKJCC's obligations under this Agreement are subject to, and JKJCC shall not be liable for, delays, failure to perform, or damage or destruction or malfunction of Services and/or Equipment, or any consequences of the above, caused, occasioned or due to fire, flood, water, the elements, labor disputes or shortages, utility curtailments, power failure, explosions, civil disturbances, government regulatory requirements, acts of God or public enemy, war, military or government requisition, shortages of equipment or supplies, unavailability of transportation, acts or omissions of anyone other than JKJCC, its representatives, agents or employees, or any other cause beyond JKJCC's reasonable control. b. In all situations involving performance or non-performance of Services and/or Equipment or related programs furnished under this Agreement, the Customer's sole and exclusive remedy and JKJCC's sole and exclusive liability will be: (i) the adjustment or repair of the Equipment or replacement of its parts by JKJCC or, at JKJCC's option, replacement of the Equipment or correction of the programming or other errors, or (ii) if, after reasonable efforts, JKJCC is unable to provide the Service, install the Equipment or replacement Equipment in good working order, or to restore the same to good working order, or to make programming operate, the Customer shall be entitled to terminate this Agreement and receive a refund equal to the total amount paid by Customer to date for the service. c. IN NO EVENT SHALL JKJCC BE LIABLE TO THE CUSTOMER OR TO ANY OTHER PARTY FOR SPECIAL, COLLATERAL, EXEMPLARY, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. SUCH EXCLUDED DAMAGES INCLUDE, BUT ARE NOT LIMITED TO, LOSS OF PROFITS, LOSS OF USE OR INTERRUPTION OF BUSINESS, OR OTHER CONSEQUENTIAL OR INDIRECT ECONOMIC LOSS. 11. Indemnification: Customer hereby assumes liability for and agrees to indemnify, protect, and hold wholly harmless JKJCC (a.k.a. the New York Convention Center Operating Corporation) as well as the State of New York, the New York Convention Center Development Corporation, the New York State Urban Development Corporation d/b/a the Empire State Development Corporation, the Triborough Bridge and Tunnel Authority and their respective boards of directors, officers, agents and employees and any and all successors and assigns ("Indemnitees") from and against any and all liabilities, obligations, losses, damages, injuries, claims, demands, penalties, actions, costs, and expenses, including reasonable attorney's fees in contract, in tort or otherwise, which result from or arise out of negligence or wrongful use of the Equipment or the Services by the Customer or its representatives, agents, employees, or invitees. 12. Assignment: JKJCC shall have the right to assign its interest under this Agreement to any other party subsequently providing equipment and/or services to the Center. 13. Entire Agreement: This Agreement and any attached or referenced supplement(s) as well as the Service Order Payment Form shall constitute the entire agreement between the parties hereto and supersedes all prior oral or written discussions or agreements. This Agreement may be amended only by a written agreement executed by both parties. 14. Applicable Law, Jurisdiction & Venue: This Agreement shall be governed by and construed in accordance with the laws of the State of New York. With respect to any suit, action or proceeding relating to this Agreement, Customer hereby irrevocably submits to the exclusive jurisdiction of the courts of the State of New York and of the United States District Court for the Southern District of New York. The parties designate New York County as the exclusive place of venue. 15. TIPPING IS NOT PERMITTED. ANY REQUESTS FROM PERSONNEL FOR GRATUITIES SHOULD BE IMMEDIATELY REPORTED TO JKJCC MANAGEMENT. page 86

87 Part II Terms and Information Applicable to the Serice(s) Ordered Service Order Terms & Information Service order(s) are subject to the following additional terms and information. Please read them carefully and call us at if you have any questions. Electrical (including Voltage, Sound and Video Equipment) 1. Incomplete information regarding hook-up or power requirement will delay processing. 2. Use of open clip sockets, latex or lamp cord wire and duplex or triplex attachment plugs in exhibits is prohibited. 3. All exhibitors' cords must be of the three-wired type. All exposed noncurrent-carrying metal parts of fixed equipment, which are liable to be energized, shall be grounded. 4. All electrical equipment must be properly tagged and wired with complete information as to type of current, voltage, phase, cycle, horsepower, etc. 5. Electrical power for lights and displays will be turned on one hour prior to event opening and turned off at event closing. 6. All electrical service connections (110V) must include one female outlet unless a multibox or plug-in strip is ordered. Plumbing 1. JKJCC plumbing labor is available for other plumbing work and repairs on a time and material basis. See labor rates on the Plumbing Services Order Form. 2. If your booth is in exhibit halls 1D, 1E, the River Pavilion or Javits North, please call JKJCC at before ordering. Plumbing services in those areas is extremely limited. 3. JKJCC can provide specialty bottled gases. This will include supply, delivery, storage and hook-up to equipment. Call us at before ordering for a price quote. Order and payment must be received 30 days prior to event opening. 4. If your equipment has strict tolerances for water or air temperature, pressure or cleanliness, please provide your own regulating devices and filters. JKJCC's utility operating ranges are not as precise as some specialized facilities. 5. Compressed air and water for booths is normally turned on one hour before event opening and off at event close. 6. Special equipment requiring proprietary vendor engineering for assembly, servicing, preparatory work and operation may be executed without JKJCC personnel. 7. Please note that portable air compressors are not permitted. 8. All equipment using water must have inlets and outlets properly tagged. 9. Service outlet size will be determined by the volume required. Cleaning 1. Examples of Cleaning Services offered by JKJCC include: a. First Day Cleaning ( Opening Day ) Includes: i. Vacuuming of carpeted areas. ii. Sweeping of floor covering other than carpeted surfaces. iii. Damp mopping of floor covering other than carpet (please specify in "Special Instructions" on Order Form). iv. Wastebasket and trash receptacle emptying. v. PROTECTIVE PLASTIC CARPET COVERING AND OTHER OBSTRUCTIONS ON THE CARPET MUST BE REMOVED BEFORE CLEANING CAN BE PERFORMED. b. Event Days Cleaning ( Does Not Include Opening Day ) includes: i. Vacuuming of carpeted areas. ii. Sweeping of floor covering other than carpeted surfaces. iii. Damp mopping of floor covering other than carpet (please specify in "Special Instructions" on Order Form). iv. Wastebasket and trash receptacle emptying. Note: The Javits Center does not provide in-booth wastebaskets. Wastebaskets can be ordered from the general service contractor for your even Note: 3-day event = 2 cleanings; 4-day event = 3 cleanings; 5-day event = 4 cleanings. Services will be performed on designated event days after the event closes for the day. c. Periodic Porter Service: This service is performed during event hours ONLY. Porter will report to booth to empty wastebaskets and sweep once every 2 hours (vacuuming not included). Refusal of service will not be rescheduled or refunded. (Booths of 3500 sq. ft. and over must order Custom Porter Service). d. Custom Porter Service: This service is billed at an hourly rate with a 2 hour minimum and performed during event hours ONLY (includes an assigned Porter to stay in booth). Service includes emptying of wastebaskets and sweeping (vacuuming not included). Customer is required to supply hours requested in writing. Refusal of service will not be rescheduled or refunded. e. Stripping and Waxing of Floors: Environmental Solutions requires 5 day notification for this 2 step process. This work can only be performed when the booth number is marked on the floor. There can be nothing on the flooring being serviced during, and for a period of 4 hours after, the application of the wax. The work is to be performed on straight time unless otherwise agreed to by the exhibitor. Environmental Solutions is not responsible for floor blemishes or residual glue/tape that could not be removed during the process. 2. Booth square footage is subject to verification by event management. 3. Disposal of hazardous waste on JKJCC premises is illegal. Telecommunications (including Internet, Telephones and In-Booth Camera) 1. Calling Charges: Customer is responsible for all calling charges made on the hardwire line or lines they order. This includes local calls, 800/888 calls, long distance calls (see #2 below), directory assistance calls and international calls. 2. Long Distance: Long distance interexchange service will be provided by JKJCC. All arrangements for long distance interexchange service shall be made directly between customer and JKJCC. Billing for such services is processed by JKJCC. Billing or Other questions related to long distance services should be directed to JKJCC at (212) In-Booth Video: a. Customer must notify JKJCC of early move-out so that camera can be removed in a timely manner. b. Customer acknowledges and agrees that this agreement does not create an obligation for JKJCC to provide surveillance or security. JKJCC assumes no responsibility for theft or other criminal activity or for damage or loss occurring in a booth equipped with this equipment and service, whether or not the equipment and service is operating properly. Customer is solely responsible for the complete security of the booth and for safeguarding the booth as well as the people and property within. c.
