About us Gippsland Water is the second largest regional urban water corporation by revenue in Victoria, comprising a diverse, complex and geographically dispersed asset base spread across a 5000 km 2 region which is serviced through an asset base of in excess of $1 billion. We exist to deliver reliable, high-quality water, wastewater and waste recovery services to ensure the economy and liveability of the central Gippsland region. Our service area is diverse in area and needs, from the fast growing region in the west, to the transitioning challenges of the Latrobe Valley to providing water and wastewater services to Victoria s largest industrial water uses. There has been significant change throughout the Gippsland region, in particular, the closure of major businesses. While this changing landscape presents many challenges to Gippsland Water, it also highlights the importance of the role Gippsland Water plays in the region, and the role we play in the region s transition. Gippsland Water will continue to focus on: maintaining quality water and wastewater services for our customers at an affordable price our sustainable future and the future of the region, and the role we play in the future. To enable the corporation to meet these needs Gippsland Water has introduced a new approach and strategy that better reflects the needs of the communities and positions the organisation to deliver sustainable environmental and financial outcomes. 3 5 KEY ACCOUTABILITIES The Governance Leader is responsible for providing correct interpretation and reference point advice relating to key corporate governance activities and is accountable for the delivery of timely and accurate advice and reporting to both internal and external stakeholders and customers to ensure the business manages its corporate and regulatory requirements effectively. 6 KEY RESPONSIBILITIES Team Leadership Lead, motivate and set direction to a multi-disciplinary workgroup; ensuring individual workloads are sustainable and that team members have the requisite skills, knowledge and resources available to undertake the allocated work; including succession planning. Coordination and management of shared administrative support to designated officers. Preparation and submission of quarterly governance workgroup reports to the Gippsland Water Executive Leadership Team. Oversight of the governance induction and refresher process for all staff. Ensuring all training and awareness products delivered by the governance workgroup reflect current Gippsland Water, State and Federal policy. Develop and maintain requisite skills, knowledge and networks to ensure continuity of service during the Manager Governance s periods of absence. Policy Development and Review Develop, implement and provide advice and guidance on new corporate policies the General Manager Finance and Governance sponsors, to ensure compliance with regulatory and legislative requirements and alignment with corporate strategic direction. Complete scheduled reviews of all Board and Operational policies the Manager Governance has responsibility for; making recommendations for change that align with corporate strategic direction, maintain compliance with relevant legislation, regulations and standards where applicable. Manage the Board and Operational Policy review process, including Board reporting. Schedule policy reviews with responsible managers to ensure policies are current, adhere to regulatory and legislative requirements and align with Breakthrough Objectives. Undertake procedural / process reviews and development that align new and/or existing policies to good governance practices and/or regulatory obligations. Corporate Compliance Management of the day-to-day co-ordination and compilation of internal and external reporting

4 requirements including (but not limited to) quarterly and annual Essential Services Commission (ESC) information, annual Water Services Association of Australia (WSAA) information, Board reporting and daily Bureau of Meteorology statistics. Management of the Audit Recommendations process, including reporting to and attendance at the Audit and Risk Committee, as required, to provide assurance that action items are progressed in a timely fashion and only closed when all actions have been complete. Ensure the integrity of all data and information provided for the purposes of reporting, and ensure Gippsland Water is fulfilling all legislative reporting requirements within its mandatory periodic reporting to Government and other regulatory bodies. Co-ordinate the compilation of Gippsland Water s annual report in accordance with the Financial Management Act 1994 and Government Directions, for submission to parliament in line with reporting timeframes. Contracts and Procurement Management and oversight of the responsibilities associated with the provision of an efficient and effective contract and procurement framework ensuring probity principles are adhered to and regulatory and legislative requirements are adhered to. Oversight of all service contracts the direct reports of the Governance Leader has responsibility for, ensuring contract conditions are adhered to and internal processes are followed, including regular contract performance and budget reporting to the Manager Governance and Executive Leadership Team. Management of the budgets associated with contracts that fall within the portfolio of the Manager Governance including Land Services, Building Services, Cleaning Services, Office Supplies, Printed Stationery and mobile services (eg Telstra). Fleet and Facilities Management and coordination of fleet services, including fleet purchases, maintenance and disposal, policy implementation, compliance, reporting and support systems. Management and coordination of non-infrastructure maintenance (including planned and reactive works, air conditioning and office cleaning) and support systems for all buildings that are the responsibility of Manager Governance. Management of the reporting and analysis or telephone and mobile device usage. Business Support and Administration Management of the day-to-day operations of business support activities including the functions associated with reception, office supplies and maintenance. 7 KEY CHALLENGES The Governance Leader will be responsible for implementing, coordinating and managing a range of

5 governance and legislative requirements across the organisation to meet both internal and external obligations and deadlines. This will require them to be knowledgeable, adaptable, experienced and have the ability to meet tight and inflexible deadlines. 8 JUDGEMENT & REASONING This position requires the ability for the Governance Leader to draw on their knowledge and experience to analyse issues, interpret legislative requirements and policies and make sound and accurate recommendations, at times without precedent, to the Manager Governance, General Manager Finance and Governance, and a range of other senior stakeholders across the business. They will also be involved with the development of strategic direction through the creation of policy positions and directives to meet objectives and desired business objectives. Their outstanding attention to detail, with the ability to critically review and recommend final sign off and approval for a variety of reporting requirements across the organisation is essential as key users of these reports are dependent upon the accuracy of the reports. The role is also accountable for the keeping of accurate and comprehensive records to support data reported and recommendations made to customers and regulators. The Governance Leader will have the ability to approve operational expenditure within delegation and in line with allocated expenditure areas to ensure appropriate financial management of the budget. Allocated expenditure areas include, Capital Works, Major Maintenance, and others as directed (total operational budget per annum of approximately $1M). The Manager Governance will be referred to for expenses outside of these parameters. 9 INTERPERSONAL SKILLS/COMMUNICATIONS The Governance Leader must have highly developed interpersonal and communication skills, including written, verbal and presentation, to explain complex technical/legal details to a variety of customers and stakeholders. This position requires the ability to persuade, convince, negotiate and consult with a variety of both internal and external customers and stakeholders, including the executive group, employees, the Department of Environment Land Water and Primary Industry (DELWP), and Essential Services Commission (ESC), to ensure understanding of technical/legal concepts, and nature and significance of key risks identified. They play an important role in influencing and convincing others to modify their operational activities to comply with relevant legislation and stakeholder obligations.

6 The Governance Leader must also have the ability to lead the governance workgroup through open communication and feedback and have the ability to proactively coordinate the achievement of governance requirements from other groups and departments across the organisation in a timely and collaborative manner. The Governance Leader requires attention to detail when writing and editing a range of corporate reporting requirements for both internal and external stakeholders, to ensure the integrity of the data. 7 ESSENTIAL & DESIRED SKILLS/EXPERIENCE Essential: Broad exposure to a commercial environment preferably including but not limited to: Governance Procurement and Contract Management Fleet and Facilities management Government business reporting General administration practices Regulatory reporting Demonstrated experience in operating within a regulated environment Demonstrated time management skills combined with the ability to prioritise, meet tight deadlines under difficult circumstances Demonstrated ability to lead and participate in a team to achieve its goals, including the ability to manage the performance of team members that supports a high level of motivation and team morale; Demonstrated ability to work autonomously to problem solve, provide advice and information on related governance issues. Demonstrated experience in procurement and contract management; Demonstrated experience in budget management; Highly developed communication skills, interpersonal skills and well developed negotiation skills; and An ability to review reports (both text and numeric), identify errors, analyse problems and provide considered and accurate recommendations within limited time frames. Desirable: Demonstrated experience within a government entity or the water industry.
