1 PRELIMINARY OUTLINE SPECIFICATIONS for Neelytown Road, Montgomery, NY The Project This outline specification prepared by Panattoni Construction Incorporated (Contractor), defines the preliminary and base scope of work for the design and construction of warehouse and distribution space at Neelytown Road, Montgomery, Orange County, New York. DESIGN CRITERIA: Building Footprint: 455,053 SF Warehouse Area: 445,952 SF Office Area (actual TBD): 9,101 SF Approx. Dimensions: 510 x 900 Bay Size (actual TBD): 50-0 x 50-0 Trailer Parking: 100 spaces Vehicle Parking: 191 spaces Clear Height: 36 (to underside of lowest structural member at first column) Exterior Wall Height: Approximately 43 The Contractor shall have a complete set of certified, final working drawings and specifications prepared in conformance with these outline documents and shall furnish all labor, materials, equipment and supervision necessary for the execution and completion of the work. DIVISION 1: GENERAL REQUIREMENTS LAWS, ORDINANACES, RULES AND REGULATIONS The Contractor shall be responsible for complying with all building codes and dimensional requirements of zoning ordinances applicable to the building including local city ordinances, Americans with Disabilities Act, and the Occupational Safety and Health Act Provisions applicable to construction sites IMPACT, PERMITS AND CONNECTION FEES: This proposal includes giving to the proper authorities all notices as required by law relative to the work of this project; apply and pay for all building permits (other than environmental permits if required for Client's operation) and Contractor's licenses as are required for construction FIELD ADMINISTRATION PERSONNEL The field administration personnel shall consist of a project manager and a project superintendent.

2 Page 2 of 10 Sub-contractors to provide adequate manpower to maintain the project schedule and safety TESTING The Contractor shall develop and employ a field testing program for quality control during the course of the project. The Contractor's testing program shall include soils, cast-in-place concrete, bituminous pavements and structural steel. The Client shall have the right to perform additional independent tests on all materials and equipment furnished for the project at any time QUALITY/TRAINING/SAFETY/PROGRAMS Quality assurance shall be met through direct supervision, specialized testing and certification by an independent laboratory. Panattoni Construction will maintain safety standards in accordance with state, local safety and insurance standards MOBILIZATION/DEMOLIZATION As work is commenced, temporary utilities and facilities will be procured as required. Panattoni Construction will be responsible for providing and/or coordinating equipment and materials TEMPORARY CONSTRUCTION FACILITIES Temporary restrooms, staging and yard area and job-site trailer will be provided by Panattoni Construction. Temporary facilities will be removed and/or relocated as the job progresses CLEANUP AND PUNCH LIST The Contractor shall be responsible at all times to keep the premises free from excessive accumulations of waste materials and/or rubbish. Periodically, the Contractor shall remove all rubbish and waste materials from the building and the construction site, and at the completion of the project, all debris, tools, scaffolding and surplus materials shall be removed and the project shall be left in "broom-clean" condition. DIVISION 2: SITE WORK CLEAR AND GRUB Clear site of trees, stumps, debris, surface vegetation and soil of organic materials GRADING AND EXCAVATION Grading and earthwork will include the necessary excavation, backfill and rough and fine grading necessary to accomplish the building construction. Earthwork operations will be performed in accordance with the recommendations and under the supervision of a qualified Soils Engineer. Final site design to achieve balanced site.

3 Page 3 of 10 Areas to receive bituminous and concrete paving outside the areas of the building structure shall be cut and filled to the grades designed by the Civil Engineer of record. Fill work in these areas will be with on-site material, compacted to 95% Proctor density UNDERGROUND UTILITIES All items shall be designed to meet state and local requirements Sanitary Sewer - A 6" gravity sanitary sewer line will be installed from 5 of the exterior of the building and connected to the septic field per the approved site plan. Water A 10" combination domestic and fire protection water service will be brought to the building from a private, potable water well located on site. Contractor assumes the water main at the property line will have adequate water flow and pressure to supply the needs of an ESFR fire sprinkler system with an electric pump. Storm Sewer - Storm water drainage will be by means of surface runoff to an onsite storm sewer system and drainage basins per the approved site plans. Drainage systems, to the maximum extent possible, will utilize surface drainage. Telephone - An empty conduit stub will be installed through the exterior wall to provide access into the building and dial tone demarcation panel. Cost of the telephone service will be borne by the Client. Natural Gas High-pressure natural gas will be brought to the building by the natural gas utility, Central Hudson Gas & Electric ASPHALT PAVING The Contractor shall furnish and install all bituminous paved parking lots, driveways, and fire lanes. Trucking areas will consist of 4 bituminous stabilized base and 2 F.A.B.C. topping. Automobile parking will consist of 2 ½ bituminous stabilized base and 1 F.A.B.C. topping SITE CONCRETE This proposal includes curbs located at the car parking area, the entrance drives. A broom- finished concrete sidewalk is included at the main office entrance. Truck dock apron shall be 7 thick concrete, broom-finished paving over 4 granular fill. All concrete to be 4,000 psi compressive strength in 28 days. Three (3) concrete on-grade drive-in ramps are included. The on grade ramps shall be 7 thick unreinforced concrete broom-finished paving.

4 Page 4 of 10 DIVISION 3: CONCRETE BUILDING FOUNDATIONS FLOOR SLABS 7 thick unreinforced concrete floor slab on 4 thick compacted granular fill, all concrete to be 4,000 psi compressive strength in 28 days. The floor slab concrete will be placed with a laser screed, finished with a hard machine trowel finish and installed to floor flatness and floor levelness FF45/FL35 tolerances. The floor will be measured in accordance with Random Access floor tolerances utilizing Allen Face & Associates testing standards. Contractor will provide an independent testing laboratory report stating that the floor slab has been installed in accordance with this outline specification and floor finish tolerances. The floor slab will be cured with a quality membrane-curing compound. The floor slab will have control joint spacing not to exceed approximately 15 x 15 and control joints will be sawn with soft cut blade method. Control joints are to be filled with MM-80 Series Epoxy. The floor will be constructed to perform in accordance with ACI Class 5 (modified) specifications. The exposed floor will be machine troweled, finished, and cured with Super Aqua-Cure VOX as manufactured by Euclid TILT-WALL The building exterior shall consist of smooth Tilt-wall concrete panels finished with accent reveals at the office. The exterior walls of the office and warehouse areas will be 9 1/4 load bearing Tilt-wall panels. Tilt-wall panels will be of sufficient height to allow for an interior clear height of 36-0 from finish floor to underside to steel bar joist at the first column line. DIVISION 5: STRUCTURAL STEEL AND METALS STRUCTURAL STEEL The building system will conform to the standards of ACI, ASTM, SJI, and applicable building regulations. The general construction will be steel columns, beams, and steel bar joists carrying metal deck. The finish on all steel will be gray primer paint. Bay size will be approximately 50-0 x 50-0, or as determined by the structural engineer. Exposed roof deck will be provided with factory prime painted "off white" finish METAL STAIRS, LADDERS AND MISCELLANEOUS A total of twenty-five (25) concrete-filled pipe bumpers are included at exterior egress doors, electrical panels and fire suppression piping as required.

5 Page 5 of 10 One (1) steel vertical ladder is included inside the building to provide access to the roof through and one (1) 2-6 x 2-6 roof hatch. Stairs with handrails will be provided as required at the truck dock areas and egress doors. DIVISION 6: CARPENRTY MISCELLANEOUS CARPENTRY All miscellaneous carpentry shall be performed, where applicable, to provide the client with a professional finish. DIVISION 7: THERMAL AND MOISTURE PROTECTION INSULATION Roof Structure to receive 2 mechanically fastened insulation with an average R value of 14.3 located above the roof deck EXTERIOR INSULATION AND FINISHING SYSTEM Underside of entrance feature to receive EIFS system TPO ROOFING A single-ply 45 mil non-reinforced TPO membrane mechanically attached roof system will be provided. The roof will be pitched (¼") to exterior drains and leaders connected to the storm water system. Miscellaneous flashing, pitch pockets, coping and drains will be provided ARCHITECTURAL SHEET METAL 24 ga. Prefinished metal coping to be provided for roof coping ROOF SPECIALTIES AND ACCESSORIES Provide roof access via interior steel ladder and roof hatch. Ladder to meet all applicable codes MISCELLANEOUS CAULKING Provide all caulking required to establish a watertight seal between building components. DIVISION 8: OPENINGS EXTERIOR DOORS

6 Page 6 of 10 Furnish and install twenty-five (25) exterior exit personnel doors in building or as required by code. Doors are to be 1-3/4" hollow metal doors, set in hollow metal door frames, and exterior painted to match the exterior façade. All door hardware shall be as manufactured by Schlage, Yale, Sargent or an equal commercial grade with its function appropriate for its intended usage. Weather-stripping and door closers will be provided at all exterior doors OVERHEAD DOORS Up to Ninety-nine (99) overhead doors to be provided in a cross dock configuration. The overhead doors will be 9 x 10 manual, insulated sectional vertical lift doors at the exterior truck docks. Sixty (60) to be installed. Three (3) 12 x 14 drive-in doors to be provided. Doors to be manually operated insulated sectional overhead doors at the on-grade drive in ramps. Drive in doors shall have one (1) 5 x 30 vision light in the third panel GLASS AND GLAZING Office windows shall be 1" thick thermopane set in anodized black aluminum frames with a thermobreak design. All exterior glass shall be insulated units with the exterior glass tinted gray and the interior light clear. All window units shall be fixed sash, punched openings. The main exterior entrance door shall be 3 x 7 anodized aluminum and glass to match windows. Exterior glass occurring in doors and sidelights shall be tinted, all interior glass shall be clear. Aluminum thresholds shall be provided for all exterior doors. Exterior glass doors shall have 1" insulated glass. DIVISION 9: FINISHES Thirteen Thousand (9,101) square feet of office fit-up is included at an allowance of $50.00 per square feet. The Office Area is to be constructed on the slab and actual square footage to be determined METAL FRAMING AND SHEETROCK Metal stud framing and sheet rock to be located at the fire pump room only. Tenant improvement framing and drywall is part of office Allowance CEILINGS The building is to be left open to roof deck except in Office Areas.

7 Page 7 of FLOOR COVERINGS The warehouse concrete floor slab will receive a single coat application of Ashford Formula hardener WALL PAINTING Exterior walls will be painted with an elastrometric paint. Exterior metal to be painted with enamel paint. Interior walls will not be painted. DIVISION 11: EQUIPMENT DOCK EQUIPMENT Up to Ninety-nine (99) 35,000-pound capacity, 7' x 8' mechanical dock levelers with bumpers will be provided. Sixty (60) to be installed. Compressible, foam-type dock seals and bumpers will be provided at the 9 x 10 exterior overhead doors. DIVISION 13: SPECIAL CONSTRUCTION FIRE PROTECTION A complete fire protection sprinkler system is provided throughout the facility. The system will be designed in accordance with NFPA Standards, and applicable local codes. The Office Area fire sprinkler system will be designed and constructed via the office build-out allowance. The warehouse area will be provided with an ESFR system. Sprinkler riser, fire pump and fire department valves, flow switches, and alarms as required by code. Sprinkler risers shall be fed from the fire protection pump room inside the warehouse area. Fire hose cabinets and ABC type, 20 lb. fire extinguishers are included at the ratio of 1 unit per 10,000 square feet. It shall be the Client's responsibility to verify with his insurance underwriter that the above coverage will satisfy their specific needs. A water tank of approximately 200,000 gallons is provided along with freeze protection to serve the needs of the facility and the fire suppression system.

8 Page 8 of 10 DIVISON 15: MECHANICAL PLUMBING: Provide domestic water service from 5 feet outside the building to the main office area shown on drawings. Provide PVC sanitary sewer from 5 feet outside the building to the main office area shown on the drawings. Roof drains will be piped from the roof to the storm drain system from the exterior. All work to be per local code. Additional plumbing is to be a tenant improvement item HVAC The building will have a 2 domestic water service. The warehouse area heating will be provided by Cambridge type heaters. Ventilation of the warehouse will be in compliance with State and Local Code requirements. No provision has been made for air conditioning in the warehouse area. Exhaust will be provided as per code. Anti-stratification fans in the warehouse will be employed to conserve energy for heating in the warehouse area. Design conditions are as follows: Warehouse Office Winter/Summer Winter/Summer Outdoor 11 F/- 0 / 95 deg F Indoor 55 F/- 72 / 75 deg F All office area HVAC systems shall be designed and constructed via the office build-out allowance DIVISION 16: ELECTRICAL ELECTRICAL I. Electrical Distribution Equipment: Contractor will provide an electrical service at 2,000 amp, 277/480 volt, 3-phase, 4-wire. All panels, switchboards, transformers, fuses and contacts will be supplied as per Code. The service has been sized based on certain assumptions: All electric to be provided as follows: A. Emergency lighting (high efficiency) and exit lights will be per National Electric and Fire Safety Code.

9 Page 9 of 10 B. Site lighting is included and will be designed to comply with code requirements. C. Include fire alarm system in all areas as per code. D. General warehouse lighting to be 25-foot candles at eye level with T5 high output linear fluorescent six (6) lamp fixtures based upon an open floor plan. II. Site Lighting: Work will conform to all authorities having jurisdiction watt Metal Halide wall packs located at truck docks. III. Interior Lighting: - T5 high output linear fluorescent six (6) lamp fixtures IV. Miscellaneous: - Egress/EM combo units with battery back up. - 1 Connections to HVAC units. - 2 Connection to electric heater in pump room. - 1 GFI in pump room foot strip light in pump room. - 1 Dedicated outlet for irrigation controller. V. Site Utility: - 1 Transformer Pad. The electrical installation for the warehouse area will be complete from the utility company supplied transformers to power and lighting panels, switches, and/or circuit breakers throughout the building to supply heating, lighting, convenience outlets, and other items of this specification. Office area electrical work shall be designed and constructed via the office build-out allowance. VI. EMERGENCY & EGRESS LIGHTING: Emergency and exit lighting fixtures will be provided to meet all code requirements. VII. EXTERIOR LIGHTING: Parking Lot - The parking lot and truck dock area will be lighted by means of wall mounted lighting fixtures. VIII. LIGHTING CONTROLS: Warehouse area lighting to be circuit breaker switched at electrical distribution panels.

10 Page 10 of 10 IX. FIRE ALARM EQUIPMENT: One (1) fire alarm control panel with area annunciation, emergency standby battery powered, and provisions for central tie-in. Fire pump monitoring system to be provided. EXCLUSIONS - In-rack sprinklers. - Special floor coating and floor striping other then that stated in this document. - Field painting of structural steel, bar joists, or decking. - Office furnishings, demountable partitions, drapes, lockers, telephone system, intercom system, central time clock, and music system. - Data wiring or raceways, computer system, and/or U.P.S. system, computer flooring. - Furnishing or installing racking system. - Painting of any exposed piping. - Supplying fork truck battery chargers. - Dock lock equipment. - Electrical panels and distribution and connections to Client s assembly, packaging, distribution. - Security System - Fencing - Guardhouse - Building signage other than directional and park signage - Smoke vents and skylights - Surface slab hardeners/densifiers - Special computer room equipment - Explosion-proof construction at any area - Electrical Ground loop - Emergency generator and secondary back up electrical connections to provide second point of contact to the power grid. - Fire walls and tunnels - Aisle warehouse lighting - Fire alarm system as required by tenant - Telephone or data systems, conduit or wiring
