1 ENERGIZER: $5 REWARD PROMOTION OFFICIAL TERMS AND CONDITIONS A. THE PROMOTION 1. Promotion Period: The : $5 Reward Promotion (the Promotion ) is sponsored by Energizer Canada Inc. (the Sponsor ). The Promotion consists of an online rebate offer (the Offer ) and a contest (the Contest ). The Offer begins on October 1, 2017 at 12:01:00 AM Eastern Time (ET) and ends on April 30, 2018 at 11:59:59 PM ET (the Offer Period ). The Contest begins on October 1, 2017 at 12:01:00 AM ET and ends on March 31, 2018 at 11:59:59 PM ET (the Contest Period ). The Contest Period consists of twenty-six (26) weeks (each, a Week ) (each Week begins at 12:01:00 AM ET on Sunday and ends the following Saturday at 11:59:59 PM ET). 2. Eligibility: The Promotion is only open to individual Canadian residents who have reached the legal age of majority in their province/territory of residence (no club, group or organization may participate). In respect of the Contest only, employees, representatives or agents (and those with whom such persons are living, whether related or not) of Sponsor, its parent companies, subsidiaries, affiliates, prize suppliers, advertising/promotion agencies and any entity involved in the development, production, administration, or fulfillment of the Contest (collectively, the Contest Parties ) are not eligible to enter or win a Prize (defined below). B. THE OFFER 3. Qualifying Purchases: To participate in the Offer, you must first purchase at least fifteen dollars ($15 CAD) (before taxes and after the redemption of any coupon, discount, rebate or any other type of Promotion) of specially marked packs of participating batteries (the full list of participating batteries is provided in Schedule A hereto) (collectively, Eligible ) in a single transaction at a participating retail location in Canada between the start of the Offer Period and March, 31, 2018 at 11:59:59 PM ET (the Purchase Period ) (collectively, a Qualifying Purchase ). 4. Qualifying Redemptions: After performing a Qualifying Purchase, you must perform one (1) of the two (2) following types of qualifying redemptions (each, a Qualifying Redemption ): A. Mobile Device Qualifying Redemption: After making a Qualifying Purchase, send a text message to short code (the Short Code ) that includes the keyword ENERGIZER5 (the Keyword ) using a compatible mobile device during the Offer Period and you will receive a reply text message with a hyperlink to the English Microsite (defined below) (to receive a hyperlink to the French Microsite (defined below), follow the instructions included in the reply text message). Next, follow the on-screen instructions on the English Microsite or French Microsite to obtain, fully complete and submit the Offer redemption form (the Redemption Form ) during the Offer Period, which includes a requirement to (among other things): (i) upload a photograph of your receipt that fully evidences that you have made a Qualifying Purchase (including clearly showing Qualifying Purchase date, time and location, and Eligible purchased) (a ); (ii) provide the product UPC code(s) of the Eligible that were purchased in your Qualifying Purchase; (iii) provide your full name, address, phone number and full mailing address; and (iv) select if you would like to receive a $5 CAD Prepaid Virtual Visa Reward Promocode (each, a Promocode ) OR a $5 CAD PayPal credit (a Credit ) (collectively, a Mobile Qualifying Redemption ). For greater certainty and the avoidance of doubt, you can only select to receive a Promocode or a Credit (collectively, Promocodes and Credits will be referred to as Rewards ), not both. Standard mobile device data use and service rates apply in relation to performing a Mobile Qualifying Redemption (including without limitation in relation to sending and receiving text messages). IMPORTANT NOTE: By sending a text message that includes the Keyword to the Short Code during the Offer Period, you are consenting to receive up to eight (8) automated promotional text messages to the number you provided from Snipp Interactive on behalf of the Sponsor. 2 consent is sought by Snipp Interactive on behalf of the Sponsor, and your consent to the above is not required to make a Qualifying Purchase or Qualifying Redemption. Online Qualifying Redemption: After making a Qualifying Purchase, take a, visit (the English Microsite ) or ( French Microsite ) and follow the on-screen instructions to obtain, fully complete and submit the Redemption Form during the Offer Period (collectively, an Online Qualifying Redemption ). 5. Reward: If you complete a Qualifying Redemption during the Offer Period in accordance with these Promotion Terms and Conditions (the Terms ) (as determined by the Sponsor in its sole and absolute discretion), you will be eligible to receive one (1) Reward. Please allow at least 24 hours after sending a Qualifying Redemption for processing. Each Reward must be accepted as awarded and is non-refundable. Further Reward terms and conditions apply. If you are eligible to receive a Reward and you selected to receive a Promocode (on your Redemption Form), you will receive a Promocode via . You will have 4 months to redeem your Promocode for: (I) a $5 CAD Visa Virtual Account (each, an Account ); or (ii) a $5 CAD Physical Visa Prepaid Card (each, a Prepaid Card ) to be mailed to you (USD $3.00 shipping and handling fee will apply and will be deducted from the balance). If you select to redeem your Promocode for an Account, you'll have 7 months to use your Account wherever Visa Debit is accepted online or over the phone. If you select to redeem your Promocode for a Prepaid Card, you can use it at physical merchant locations, online or over the phone where Visa Debit is accepted. The full Account and Prepaid Card terms and conditions are available on the Promocode claim site and can be accessed once your Visa Account has been created (which also provides balance information and transaction history to help you keep track your balance). Click on Product Terms prior to selecting a Virtual Visa Card or a Prepaid Card. Swift Prepaid Solutions is the Service Provider for your Account and associated Card Accounts. Cards are issued by Peoples Trust Company pursuant to a license from Visa Inc. The Sponsor is the entity that marketed and/or distributed the Account and Prepaid Cards, and is either a direct or indirect client of Swift Prepaid. If you are eligible to receive a Reward and you selected to receive a Credit (on your Redemption Form), you will receive a Credit. If you have chosen to receive a Credit, you must have a PayPal account in good standing, or sign up for one within 30 days, and you are subject to the PayPal Terms and Conditions found here: PayPal, Inc. is not a Sponsor or endorser of the Offer, and is not affiliated with the Sponsor in any way. C. THE CONTEST 6. How to Enter: NO PURCHASE NECESSARY. There are two (2) ways to enter the Contest, respectively as follows: A. Redemption Form: If, at the time of performing a Qualifying Redemption, you select to opt-in to the Contest on your Redemption Form and complete a Qualifying Redemption during the Contest Period in accordance with these Terms (as determined by the Sponsor in its sole and absolute discretion) (a Contest Opt-in ), you will receive one (1) entry (an Entry ) into the applicable random draw (based on when your Redemption Form is received by the Sponsor) (see below for random draw details). You only need to perform a Contest Opt-in once and for any subsequent completion of a Qualifying Redemption during the Contest Period in accordance with these Terms (as determined by the Sponsor in its sole and absolute discretion), you will automatically receive one (1) Entry into the applicable random draw (based on when your Redemption Form is received by the Sponsor) (see below for random draw details); however, if you d like to withdraw your Contest Opt-in, please send an with the subject line : $5 Reward Promotion, Contest Opt-out to EnergizerCAHelp@snipp.us that 2

3 includes your name, the you registered with, and address before the end of the Contest Period and your Entries will be disqualified. B. Mail-in Request: To enter the Contest without having to perform a Qualifying Redemption, you must hand-print your full name, address, mailing address, phone number on a 3 x 5 card, and include a 50-word (or more) handwritten original essay on Why I Like and mail these materials in an envelope (with sufficient postage) to: Simon Pure Marketing Inc., 100 Broadview Avenue, suite 319, Toronto Ontario, M4M 3H3 (collectively, a Mail-in Request ). Mail-in Requests must be postmarked during a Week during the Contest Period, and only those received by the Draw Date (defined below) that corresponds to such Week will be eligible. No mechanical reproductions permitted. Mail-In Requests become the property of the Sponsor and will not be acknowledged or returned. If your eligible Mail-in Request is received in accordance with these Terms (as determined by the Sponsor in its sole and absolute discretion), you receive one (1) Entry into the applicable random draw (based on the date of the postmark associated with your Mail-in Request) (see below for random draw details). Each Mail-in Request must be mailed in a separate envelope bearing sufficient postage (i.e. mass Mail-in Requests in the same envelope will be void). 7. The Prizes: There will be twenty-six (26) prizes (the Prizes ) available to be won. Each Prize consists of: i), if the confirmed winner entered via Qualifying Redemption, the value of the his/her Qualifying Purchase (which may include other products other than Eligible ) (up to a maximum value of $500 CAD), which will be awarded in the form of a cheque; or ii), if the confirmed winner entered via Mail-in Request, $200 CAD, which will be awarded in the form of a cheque. There will be one (1) Prize allocated to each Week. The number of Prizes will decrease throughout the Contest as they are claimed in accordance with these Terms. Each Prize must be accepted as awarded and is not transferable, nor assignable (except as may be specifically permitted by Sponsor in its sole and absolute discretion). There is a limit of four (4) Prizes per person. 8. Prize Winner Selection Process: On the Thursday following the end of each Week (each, a Draw Date ) in Toronto, ON at 3 PM ET one (1) eligible entrant will be selected as a potential Prize winner by random draw from among all eligible Entries received in accordance with these Terms in connection with the preceding Week (and, for greater certainty, Entries entered into a random draw will not carry over into any subsequent random draw(s)). The odds of winning a Prize will depend on the number of eligible Entries received in accordance with these Terms in connection with the applicable Week. 9. Prize Winner Notification Process: The Sponsor or its designated representative will make a minimum of three (3) attempts to contact each potential Prize winner (using the information provided at the time of entry) within five (5) business days of the applicable Draw Date. If a potential Prize winner cannot be contacted within such time, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to a Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate potential Prize winner from among the remaining eligible Entries received in accordance with these Terms in connection with the applicable Week (in which case the foregoing provisions of this section shall apply to such newly selected potential Prize winner). 10. Prize Winner Confirmation Process: BEFORE BEING DECLARED A CONFIRMED PRIZE WINNER, each potential Prize winner will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by or other electronic means, by telephone, or in the Sponsor s form of declaration and release); and (b) sign and return within five (5) business days of notification the Sponsor s declaration and release form, which (among other things): (i) confirms compliance with these Terms; (ii) acknowledges acceptance of a Prize (as awarded); (iii) releases the Contest Parties and each of their respective officers, directors, employees, agents, representatives, successors and assigns from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the applicable Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Promotion and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the 3

4 Sponsor in any manner or medium whatsoever, including print, broadcast or the internet. If a potential Prize winner: (a) fails to correctly answer the skill-testing question; (b) fails to return the properly executed Contest documents within the specified time; (c) cannot accept (or is unwilling to accept) the applicable Prize (as awarded) for any reason; and/or (d) is determined to be in violation of these Terms (all as determined by the Sponsor in its sole and absolute discretion); then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to a Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate potential Prize winner from among the remaining eligible Entries received in accordance with these Terms in connection with the applicable Week (in which case the foregoing provisions of this section shall apply to such newly selected potential Prize winner). D. GENERAL 11. Limits and Verification: There is a limit of one (1) Reward per Qualifying Purchase and per Qualifying Redemption. There is a limit of four (4) Rewards per person/mailing address/ address/telephone number. There is a limit of one (1) Qualifying Redemption per person per Day (where a Day is defined as beginning at 12:01:00 AM ET and ending at 11:59:59 PM ET) during the Offer Period. There is a limit of one (1) Entry per person per Day during the Offer Period (regardless of the method of entry). You must retain the original receipt evidencing your Qualifying Purchase for verification purposes. Any person who is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) to have violated these Terms is subject to disqualification (as determined by the Sponsor in its sole and absolute discretion). Any use of multiple names, identities, addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Promotion is prohibited. The Sponsor reserve their right, in its sole and absolute discretion, to require proof of identity, eligibility and/or compliance with these Terms (in a form acceptable to the Sponsor) (including without limitation requiring an original receipt to evidence a Qualifying Purchase has been performed, if applicable) at any time and for any reason. Failure to provide such proof to the complete satisfaction of the Sponsor before the deadline specified by the Sponsor may result in disqualification (as determined by the Sponsor in its sole and absolute discretion). 12. General Conditions: By participating in the Promotion, each participant agrees to be legally bound by these Terms and herby agrees to release, discharge and hold harmless Energizer Canada Inc., Simon Pure Marketing Inc., Snipp Interactive Inc. (the Administrator ), Swift Prepaid Solutions Inc., Visa U.S.A. Inc., their respective parent companies, subsidiaries, affiliates, distributors, suppliers, advertising/promotion agencies, and any other entity involved in the development, administration or fulfillment of this Promotion (including without limitation the Offer and/or Contest), and their representatives, agents, successors, assigns, employees, officers and directors (collectively the Releasees ) from any and all injuries, liability, losses and damages of any kind resulting from participation in the Promotion. Without limiting the generality of the foregoing, the Releasees will not be liable for: (i) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone or telecommunications networks or lines, computer on-line systems, websites, servers, access providers, computer equipment or software; (ii) printing errors; (iii) costs associated with mobile device data use and service; or (iv) the failure of any information to be received, captured or recorded for any reason whatsoever. Without limiting the generality of the foregoing, standard mobile device data use and service rates apply in relation to participating in this Promotion via mobile device. The Sponsor reserves the right, subject only to the approval of the Régie des alcools, des courses et des jeux (the Régie ) in Quebec and solely if required in respect to the Contest aspect of these Terms, to withdraw, amend or suspend this Promotion (or to amend these Terms) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Promotion as contemplated by these Terms, including, without limitation, any error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud or technical failure. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Promotion in any way (as determined by Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor, subject only to the approval of the Régie in Quebec and solely if 4

5 required in respect to the Contest aspect of these Terms, reserves the right to cancel, amend or suspend this Promotion, or to amend these Terms, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. The Sponsor reserves the right, subject only to the approval of the Régie in Quebec and solely if required in respect to the Contest aspect of these Terms, to adjust any of the dates, timeframes and/or other Promotion mechanics stipulated in these Terms, to the extent necessary, for purposes of verifying compliance by any participant or any information submitted in connection with this Promotion with these Terms, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Promotion as contemplated in these Terms, or for any other reason. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill in connection with the Contest as it deems appropriate based on the circumstances and/or to comply with applicable law. For Quebec residents in respect of the Contest: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. Each participant hereby agrees to the collection and use of their personal information by the Administrator and its representatives for the purpose of administering the Promotion in accordance with the Administrator s privacy policy, available at: This section does not limit any other consent(s) that an individual may provide to the Administrator or others in relation to the collection, use and/or disclosure of their personal information. In the event of any discrepancy or inconsistency between these English Terms and disclosures or other statements contained in any Promotion-related materials, the terms and conditions of these English Terms shall prevail, govern and control to the fullest extent permitted by law Energizer.
