7 Terms and Conditions Indivar Software Solutions is pleased to offer RPO services on the following terms and conditions: Payment Terms: An invoice will be raised upon the candidate commencing employment with the Client's Company and the invoice is payable within Thirty (30) days from the date of invoice. Client will provide a copy of the appointment letter, or salary details of the candidates, in order to raise our invoice. This should be made available to Recruitment Consultant latest within three days of the candidate joining to the Clients Company. Replacement Terms: Every endeavor is made by company to introduce satisfactory candidates to the CLIENT; it is the responsibility of a CLIENT to satisfy themselves of the suitability of an applicant before engaging them. If invoices are settled and due to any reason candidate resigns within 60 days of joining then a free replacement for the same position will be provided. This term is only valid if the candidate resigns from the firm on their own and is not valid in the case of the CLIENT terminating or asking the candidate to leave. Jurisdiction: In case of disputes arising out of disagreements in the terms stated in this agreement, the courts of Chandigarh will have complete jurisdiction. Mutual No Poach: Recruitment Consultant agrees not to poach employees currently working with the Client and the Client agrees not to poach employees currently working with the Recruitment Consultant during the period of this agreement unless expressly agreed.

8 Ownership of Profiles: Candidate profiles submitted to the Client shall remain the property of the Recruitment Consultant for the period of the agreement or for a period of six months from the date of sending the profiles, whichever is later. In the event the candidates whose resumes are sent by the Recruitment Consultant are recruited by the Client in any position during this period, the Client will, without prejudice inform the Recruitment Consultant, and the Recruitment Consultant will invoice the Client for such recruitments.
