1 CORPORATE SOCIAL RESPONSIBILITY POLICY OF AIA ENGINEERING LIMITED CSR Plicy is inspired by the wrds "What is that life wrth which cannt bring cmfrt t thers". While pursuing ur business strategy f intrducing prducts, the Cmpany perates in a manner that nt just cntinues t generate an attractive return fr sharehlders, but als minimizes ur impact n the envirnment and helps in replenishing the planet; while lending a helping hand t the cmmunity. A. OUR CSR VISION: Thrugh sustainable measures, actively cntribute t the Scial, Ecnmic and Envirnmental Develpment f the cmmunity in which we perate ensuring participatin frm the cmmunity and thereby create value fr the natin. B. OUR CSR MISSION: 1. Ensuring sci-ecnmic develpment f the cmmunity thrugh different participatry and need- based initiatives in the best interest f the pr and deprived sectins f the sciety s as t help them t becme SELF-RELIANT and build a better tmrrw fr themselves. 2. Ensuring envirnmental sustainability thrugh eclgical cnservatin and regeneratin, prtectin & re grwth f endangered plant species, and prmting bidiversity. C. DEFINITIONS: In this plicy, unless the cntext therwise requires: a) Act means the Cmpanies Act 2013, including any mdificatins, amendments r reenactment theref. b) Agency (r Agencies) means any Sectin 8 Cmpany r a Registered Trust / sciety / NGO / institutin, perfrming, scial services fr the benefit f the sciety and excluding a registered trust / sciety / NGO / institutin / Sectin / Cmpany which is frmed by the Cmpany r its hlding r subsidiary Cmpany / Cmpanies. c) Bard means the Bard f Directrs f the Cmpany. d) Cmpany shall mean AIA Engineering Ltd. and wherever the cntext requires, shall signify the Cmpany acting thrugh its Bard. e) CSR Annual Plan means the Annual Plan detailing the CSR expenditure fr the year.
2 f) CSR Cmmittee r Cmmittee means the Crprate Scial Respnsibility Cmmittee cnstituted by the Bard f the Cmpany in accrdance with the Act, cnsisting f three r mre directr, ut f which at least ne directr shall be Independent Directr. g) CSR Plicy means the present Crprate Scial Respnsibility Plicy f the Cmpany which cvers the activities t be undertaken by the Cmpany as specified in Schedule VII t the Act and the CSR Expenditure theren. D. OUR ACTIVITIES: The CSR activities we pursue will be in line with ur stated Visin and Missin, fcused nt just arund ur plants and ffices, but als in ther gegraphies based n the needs f the cmmunities. The fcus areas where special Cmmunity Develpment prgrammes wuld be initiated are: 1. Eradicating hunger, pverty and malnutritin: Prvisin f fd, nutritin supplement, clthes etc fr the pr, children and ther deprived sectins f the sciety. Supprting nutritin in anganwadi centers and building capacities f anganwadi wrkers t this effect. Prvisin f shelter fr hmeless. Prmting sanitatin, making available safe drinking water 2. Prmting Health care including Preventive Health care thrugh awareness prgrammes, health check-ups, prvisin f medicine & treatment facilities, prviding pre natal & pst natal healthcare facilities, preventin f female feticide thrugh awareness creatin, prgram fr preventing diseases and building immunity, prviding fr mentally retarded, blind children and scially weak peple fr reducing inequalities faced by the sciety; prviding aids fr disaster Relief 3. Ensuring envirnmental sustainability and eclgical balance thrugh : Plantatin drives in schls, villages, ur manufacturing units & ffices/business premises and ther areas in general; Reviving endangered plants, prmting agr-frestry; Prtectin f flra & fauna; cnservatin f natural resurces Maintaining quality f sil, air & water. Adptin f wastelands t cultivate plants;
3 Prmting bidiversity; Animal welfare and veterinary services. Technical supprt and Knwhw fr imprving farming and building capacities f small farmers. Prmting alternate energy resurces. Renewable Energy Prjects 4. Emplyment and livelihd enhancing vcatinal skills and prjects including tailring, beautician, mehandi applicatin, bee keeping, fd prcessing and preservatin, vermicmpsting and ther Life Skill Training and livelihd enhancement prjects, drivers training fr rad safety. 5. In additin, the Cmpany has identified the fllwing areas fr Cmmunity Develpment interventins: a) Prmtin f educatin especially amng children, wmen, elderly and the differently abled including: Nn-frmal educatin prgrammes. Supprting schls with infrastructure like benches, tilets, ptable water, fans etc. Supprting ther educatinal institutins. Imprving educatinal facilities in general. Supprting children fr higher educatin. Prmtin f Rad Safety thrugh CSR Prviding Cnsumer Prtectin Services like grievance redressal mechanism, health safety etc. b) Prmting gender equality and empwering wmen including: Adult literacy fr wmen. Prmting and prviding credit supprt t wmen's self-help and jint liability grups. Training in vcatins pursued by wmen. Setting up hmes fr wmen & rphans; Setting up ld-age hmes & ther facilities fr senir citizens Setting up hstels fr wrking and student wmen, day care centers fr kids f wrking wmen 6. Cntributin r funds prvided t technlgy incubatrs lcated within academic institutins which are apprved by the Central Gvernment. 7. Other Activities which may be undertaken by the Cmpany: Prmtin f Sprts with special fcus n training fr rural sprts, natinally recgnized sprts, Paralympic sprts, Olympic sprts. Welfare fr differently disabled persns
4 Setting up public libraries Reducing inequalities faced by the scially and ecnmically backward grups Prtectin f natinal heritage, art, culture and handicraft; Restratin f Buildings & sites f histrical imprtance & wrks f art. Welfare f armed frces persnnel, war widws and their dependents. Any ther activity which the Cmpany may feel t undertake within the meaning f CSR plicy as defined and mentined under Schedule VII t the Cmpanies Act, 2013 as amended frm time t time. 8. Incidental Activities. Emplying peple and incurring ther csts t carry ut afresaid activities. E. OUR APPROACH TO IMPLEMENTATION: The Cmpany will strive t implement the afresaid CSR activities, which wuld include: 1. Cllabrating with varius rganizatin, which are registered as a Trust r a sectin 8 cmpany under the Cmpanies Act, 2013 r Sciety r NGOs r any ther frm f entity incrprated in India that specialize in the afresaid activities. 2. Cntributin t varius funds which are aligned with ur Visin and Missin e.g. Prime Minister's Natinal Relief Fund Any ther fund set up by the Central Gvernment fr : sci-ecnmic develpment and relief. fr the welfare f Scheduled Castes, the Scheduled Tribes, ther Backward classes, minrities and wmen. 3. Cllabrating r pling resurces with ther cmpanies t undertake afresaid CSR activities. F. CSR FUNDS: The crpus fr the purpse f carrying n the afresaid activities wuld include the fllwings: 2% f the average Net Prfit made by the Cmpany during immediately preceding three Financial Years. The CSR Cmmittee shall prepare a CSR Annual Plan fr the abve which shall include a) Identified CSR Prjects b) CSR expenditure c) Implementatin Schedules Ttal expenditure in the CSR Annual Plan shall be apprved by the Bard upn recmmendatin by the CSR Cmmittee.
5 In case the Cmpany fails t spend the statutry minimum limit f 2% f Cmpany s average net Prfits f the immediately preceeding three years, in any given financial year, the Bard shall specify the reasns fr the same in its reprt in terms f Clause () f sub-sectin (3) f Sectin 134. surplus arising ut f CSR activities carried ut by the cmpany and such surplus will nt be part f business prfit f the cmpany. G. MONITORING: The CSR department will prvide regular prgress reprt t the CSR Cmmittee f the Bard. This reprt wuld indicate: 1) Achievement since last prgress reprt / during the last quarter in terms f cverage cmpared t the target and reasns fr variance. 2) Achievement f the year-t-date in terms f cverage cmpared t the target, plans t vercme shrtfalls if any and supprt required frm the CSR Cmmittee/Bard t vercme the shrtfalls. 3) Actual year-t-date spends cmpared t the budget and reasns fr variance. H. DUTIES AND RESPONSIBILITIES: a) Bard f Directrs: The Bard shall in its Reprt include the Annual Reprt n CSR Prjects as per the frmat prvided in the Annexure t the Rules. b) CSR Cmmittee: i) The CSR Cmmittee shall mnitr the implementatin f the CSR Plicy and CSR Plan. Fr this purpse, the CSR Cmmittee shall meet as and when required. ii) In discharge f CSR functins, the CSR Cmmittee shall be directly respnsible t the Bard fr any act that may be required t be dne by the CSR Cmmittee as may be required by the Bard. iii) The CSR Cmmittee shall place befre the Bard the draft annual reprt as per the frmat in Annexure t the Rules in the Bard meeting in April / May f the fllwing year fr the Bard review and finalizatin. iv) The CSR Cmmittee shall ensure that the CSR Plicy and finalized Annual Plan are displayed n the Cmpany s website.
6 I. REVIEW PERIODICITY AND AMENDMENTS: i) CSR Plan may be revised / mdified / amended by the CSR Cmmittee at such intervals as the Cmmittee may deem fit. ii) The CSR Cmmittee shall review the Plicy every tw years unless such revisin is necessitated earlier.
