Being a part f the Tata Grup, the Cmpany believes in giving back meaningfully t the sciety, which als evkes trust amng cnsumers, emplyees, sharehlders and the cmmunity. The Cmpany is cmmitted t prtect this heritage f leadership with trust thrugh the manner in which we cnduct ur business. Embarking n this principle, the Cmpany thrugh its CSR prgramme intends t impact yuth, children, wmen, differently abled and ther vulnerable and marginalized sectins f the sciety. The Cmpany s alignment f the CSR activities is within its thrust areas f Livelihd Enhancement. In additin, the Cmpany will als participate in matters f natinal imprtance based n cmmunity need and exigencies including any natural disasters.

The Cmpany is aligned t the Tata Grup s plicy n Crprate Sustainability and is cmmitted in creating sustainable livelihds and building cmmunities thrugh scial utreach prgrammes. The Cmpany shall actively engage with the cmmunity in all pssible ways including cnsulting pr actively with the cmmunity and ther key stakehlders fr understanding needs and designing initiatives fr the scial well being f the cmmunity. The thrust areas under the CSR prgramme f the Cmpany are as fllws: Educatin, Skill develpment and Livelihd enhancement: This prgram is aimed at imprving skills f yuth, differently abled and children t supprt enhanced emplyment pprtunities and by cntributing funds thrugh Tata Cmmunity Initiatives Trust prmted by Tata Sns Limited r any ther similar fund. Prmting health care including preventive health care, wmen empwerment etc.: This prgram is aimed at reaching ut t sciety in prmting varius scial causes like prmting health care including preventive health care and wmen empwerment. Ensuring envirnmental sustainability, eclgical balance, cnservatin f natural resurces and maintaining quality f sil, air and water: Leverage telecmmunicatin services and facilities and by cntributing funds thrugh Tata Cmmunity Initiatives Trust prmted by Tata Sns Limited r any ther similar fund. Disaster Relief: Cntributin t Prime Minister s Natinal Relief Fund r any ther similar fund r facilitate direct assistance. Any surpluses arising ut f CSR prjects r prgrammes r activities shall nt frm part f the business prfits f the Cmpany. The Cmpany shall, in additin t the thrust areas, as mentined abve, under CSR prgrammes, endeavr t perfrm sme f the belw mentined activities: Build and strengthen cmmunity institutins and stakehlder engagement; Cllabrate with civil sciety, industry assciatins and Gvernment institutins etc.; Encurage its emplyees fr vlunteering; Cmmunicate the CSR activities t stakehlders as per the statutry/regulatry requirement.

The Crprate Sustainability team shall be respnsible t gather mnitring reprts at regular intervals frm the NGO partner implementing the prgramme. The team shall als further audit and scrutinize the budget spends fr such prjects/prgramme. Annexure IV: CSR Cmmittee A Cmmittee cnsisting f Bard f Directrs has been frmed in pursuance f Sectin 135 f the Cmpanies Act, 2013 ( the Act ). The CSR Cmmittee f the Cmpany cmprises f 3 Members ut f which 1 is an Independent Directr detailed as hereunder: 1. Mr. Kishr A. Chaukar Chairman f the Bard 2. Mr. D. T. Jseph Independent Directr 3. Mr. N. Srinath Managing Directr Respnsibility f the CSR Cmmittee: Frmulate and recmmend the CSR Plicy t the Bard fr apprval. The Cmpany shall indicate the prjects t be undertaken by the Cmpany as specified in Schedule VII f the Act. Mnitr the Plicy frm time t time and recmmend changes t the Bard. Recmmend the amunt f expenditure t be incurred n CSR prjects/prgramme. Institute a transparent mnitring mechanism fr ensuring implementatin f the scial prjects undertaken by the Cmpany.
5 Oversee the Cmpany s cnduct with regard t its crprate and scietal bligatins and its reputatin as a respnsible crprate citizen. Oversee activities impacting the quality f life f varius stakehlders. The Bard f Directrs f the Cmpany will be respnsibe fr: Apprval f the CSR Plicy f the Cmpany. Disclsing the cntent f the Plicy in its reprt and place the Plicy n the Cmpany s website in such a manner as prescribed under Sectin 135 f the Act read with the CSR Rules. Ensuring that the scial prjects included in the CSR Plicy are undertaken by the Cmpany. Ensuring that the Cmpany gives preference t the lcal areas arund its peratins fr spending the amunt earmarked fr CSR prjects. Ensuring that it specifies the reasns in its reprt fr nt spending the earmarked amunt in case the Cmpany fails t spend such amunt. The Bard shall have the pwer t make any change(s) in the cnstititin f the CSR SCmmittee. Annexure V: Gegraphy The gegraphy cvered thrugh CSR initiatives wuld be all apprpriate gegraphies within India. Annexure VI: Budget The Cmpany has nt psted prfits in the past and therefre any CSR budget will be apprved as a special expenditure by the Bard/CSR cmmittee as and when required.
