2 Wrld Green Building Cuncil Abut us The WrldGBC s glbal netwrk f Green Building Cuncils (GBCs) is transfrming the places we live, wrk, play, heal and learn. We believe green buildings can and must be at the centre f ur lives. Our changing climate means we must reshape the way we grw and build, enabling peple t thrive bth tday and tmrrw. We take actin - champining lcal and glbal leadership, and empwering ur cmmunity t drive change. Tgether, WrldGBC is greater than the sum f its parts, and cmmits t green buildings fr everyne, everywhere. Our Status WrldGBC is a nn-prfit crpratin registered in the United States f America under the sectin 501(c)(3) f the United States Internal Revenue Cde, t which WrldGBC is subject as a New Yrk nn prfit crpratin. Our Grwth The Wrld Green Building Cuncil is nw the wrld s largest rganisatin influencing the green building marketplace. WrldGBC has grwn frm ne natinal rganisatin 25 years ag, t mre than 70+ cuncils in natins arund the wrld. This cllectin f cuncils has blssmed int a structure f reginal netwrks and glbal prjects, cllabrating n the issues mst vital t their markets and leading the way fr the accelerated transfrmatin f the building and cnstructin industry. This evlutin has als resulted in WrldGBC grwing frm an rganisatin that primarily served its members, t a missin-driven, member-fcused rganisatin that carries tremendus influence n the glbal stage, evidenced by WrldGBC s pivtal rle at COP21 Paris with the first ever Buildings Day ; the Wrld Green Building Week campaign which reached ver 24 millin peple in 2017; and glbal prjects like Advancing Net Zer and Better Places fr Peple, which prves the health and wellbeing benefits f green building. 3 With a new strategy adpted in 2015, and a new staffing structure rlled ut in , WrldGBC is nw truly beginning t unlck the pprtunity that ur strng fundatin f natinal GBCs in mre than 70 cuntries represents. We are achieving this thrugh: Enabling individual strength: accelerating the develpment f strng GBCs which achieve majr impact in their markets; Facilitating cllective strength: enabling the netwrk t be greater than the sum f its parts thrugh cllabratin with each ther, industry leaders and partners; Creating the glbal cnditins fr success: psitining green building, Green Building Cuncils, and the WrldGBC as the mst effective means t achieve envirnmental, scial and ecnmic gals. WrldGBC has grwn frm fur staff t 18 in the last tw and half years; frm $1.1 millin t $2.1 millin in revenue grwth in the same perid, and expects grwth t cntinue and accelerate with each year. Why green buildings? Tday, there has never been a greater case fr and urgency fr green building: The wrld s ecnmy must fully decarbnise by the middle f the century t stay within 2 degrees f glbal warming; t achieve this, all buildings must be net zer emissins by 2050; Increasing evidence demnstrates that green building cntributes significantly t imprved health and wellbeing, imprving sleep at night, cgnitive functin by day, and reduced sickness; The push t achieve the Sustainable Develpment Gals has highlighted the key rle that green building can and des play in achieving many f these gals. Green buildings play a key rle as a slutin fr current glbal challenges. With a slid glbal fundatin, the timing is right t: achieve green buildings fr everyne, everywhere. Our Bard We believe in strng gvernance and accuntability t ur missin, t the green building mvement, and t ur member Green Building Cuncils. And this is the rle f ur Bard f Directrs, a grup f highly experienced prfessinals wh are currently r histrically affiliated with ur Green Building Cuncils, and wh hld executive r Bard psitins within Green Building Cuncils and/r lcal and glbal rganisatins (prfit and nt-fr-prfit) wh supprt the drive twards green building. We fllw best practice gvernance and elect ur Chair and each Bard member every tw years. Our Bard members are nminated by member Green Building Cuncils, and we prmte diversity: reginal, gender, ethnicity, as well as skills and experience. Green buildings fr everyne, everywhere 3

4 Rle and Interests f the Bard The Bard s rle is t advise and versee WrldGBC s rganisatinal strategy and gvernance, and t ensure we are perating effectively as a nt-fr-prfit rganisatin and delivering n ur missin. It is essential als that Bard members represent the best interests f the WrldGBC; nt their wn rganisatin including their nminating GBC. Bard Members Term The Members elected t serve n the Bard f Directrs shall serve a tw-year term frm 1 July f the year f electin. An elected Bard member may serve n mre than six cnsecutive years (unless therwise authrised by reslutin f the Bard). Current Bard Members Bard Cmmittees The WrldGBC Bard has the fllwing Bard Cmmittees and we are seeking Bard members wh will jin and prvide expertise t at least tw Bard Cmmittees: Green buildings fr everyne, everywhere 4

5 Executive Cmmittee: Cmprised f the Chair, the Vice-Chair, the Treasurer, and the Secretary, the Cmmittee supprts the CEO in n-ging decisin making and stands in fr the Bard fr apprvals in between Bard meetings. A subset f the Executive Cmmittee als frms the Remuneratin Cmmittee t decide the CEO s salary. Business Develpment Cmmittee: A relatively new Cmmittee tasked with fundraising and enhancing the spnsrship and prduct ffering f the WrldGBC and its members t ensure cntinued financial grwth fr the WrldGBC. Audit Cmmittee: Oversees the financial health f the rganisatin, including mnitring financial reprting, supprting and verseeing the annual Audit, and prviding guidance n key strategic issues. Gvernance Cmmittee: Prvides guidance int best practice gvernance fr the rganisatin, ensuring the right divisin between gvernance and management. Membership Cmmittee: Mnitrs the health and impact f ur member Green Building Cuncils; apprves new members; and versees new plicies gverning membership. Bard Members Respnsibility and Cmmitment As established in the WrldGBC Cde f Ethics and Cnducts: Nminatin t the Bard is an expressin f cnfidence by the nminee s member cuncil, and electin t the Bard is an expressin f cnfidence by the members f WrldGBC. By virtue f their electin, Bard members assume respnsibility fr leadership, thughtful judgment, and advancement f WrldGBC prgrams and activities. A psitin n the Bard is nt an hnrary pst. It is a psitin with inherent duties and respnsibilities t serve as a fiduciary fr the rganisatin, and prmte WrldGBC s effectiveness in carrying ut its missin and achieving its priritised Strategic Plan gals. Bard members must perfrm their duties hnestly, in gd faith, and with a reasnable amunt f diligence, prfessinalism and care. As per the New Yrk Nt-Fr-Prfit Crpratin Law better practices, Bard members have three fundamental areas f legal and fiduciary respnsibility, ften referred t as the duties f care, lyalty, and bedience. Bard Members must be willing t cmmit t: Attendance: Bard members are required t attend at least three-quarters f all Bard and Cmmittee meetings. WrldGBC nrmally hlds three Bard meetings at year, tw in persn and ne ver the phne. Participatin in Cmmittee: Each Bard member is expected t actively participate in at least tw Bard Cmmittees, in average, each cmmittee meets fur times a year. Travel: Bard members are required t d tw internatinal trips a year fr Bard meetings. Cde f Ethics: Bard Members are expected t adhere t the WrldGBC Cde f Ethics and Cnduct and cntinuusly act in the best interest f the Wrld Green Building Cuncil. 6 Reading time: WrldGBC Bard members are required t carefully read the material prepared fr Bard and Cmmittee meetings prir and after t the meetings. Time: Overall, in rder t fulfil the abve duties, it is expected that Bard Members will need t dedicate an estimated 2-3 days per mnth t their Bard Member rle. Bard Members Remuneratin Bard Members shall nt be entitled t any cmpensatin fr their service n the Bard f Directrs. Travel expenses fr Bard members may be reimbursed prvided they are budgeted and apprved in advance by the Bard f Directrs. Persn Specificatin The fllwing criteria are cnsidered when electing nminees t a rle n the WrldGBC Bard f Directrs: 1. The cmpsitin f the Bard (which shuld reflect the diversity and glbal spread f its members): Wherever pssible, gegraphic diversity shuld be sught, ne representative frm each WrldGBC Regin prviding suitable candidates can be fund; Gender diversity shuld be sught. 2. The relative standing f the nminee s Green Building Cuncil, accrding t its impact and influence glbally; 3. That the nminating Green Building Cuncil is in gd standing and able t pay fr the Bard candidate s travel t meetings (if candidate requires); 4. That the individual has the leadership, netwrks, skills and credibility that will add t the current make-up f the Bard: Nminees are currently r have been in the past active at a senir level in the GBC (Executive, Chair, Bard, active member); Nminees shuld have gd business knwledge and a significant level f influence in the green building mvement f their cuntry, regin r glbally; As a base, nminees wuld ideally exhibit the fllwing skills: Knwledge f business administratin; Accunting, legal, marketing r ther relevant business skills; Expertise in sustainability and sustainable develpment; Expertise in gvernance; Experience in small business, enterprise r NGO develpment. Specifically, in 2018, WrldGBC is seeking Bard members with particular expertise in: Strategic planning and impact assessment and mnitring; Green buildings fr everyne, everywhere 6

7 Significant CEO/Directr/Chair level experience inside and utside f the GBC cmmunity; Fundraising with a fcus n large grants, crprate spnsrship, and high net wrth individuals; Accunting and finance experience. Nminees shuld be active and visible in the cuntry f the nminating GBC, and ideally utside f their hme cuntry als. Nminatins Prcess A Wrld Green Building Cuncil Bard Member must be nminated by an Established Green Building Cuncil. Each Established Green Building Cuncil is encuraged t put frward between ne and fur candidates; hwever, nly ne candidate per Green Building Cuncil will be eligible t jin the Bard. Nminatins will be reviewed by the Nminatins Cmmittee then presented t the current Bard fr vting. Shrt listed candidates will be interviewed.
