3 Psitin Descriptin Cmpany Secretary Psitin Summary The Cmpany Secretary is respnsible t the Bard, thrugh its Chairpersn, fr all gvernance matters impacting the Wayside Chapel. The Cmpany Secretary will cllabrate clsely with the Bard Chairpersn and Chief Executive Officer t develp, implement and manage key crprate gvernance plicies, prcedures and systems. Key Accuntabilities & Respnsibilities Gvernance Act as Wayside s chief gvernance fficer and ensure cmpliance with all statutry requirements pursuant t the Crpratins Act 2001 (Cth) and the Australian Charities and Nt-Fr-Prfits Cmmissin Act 2012 (Cth); and prvide advice t Bard members n all aspects f relevant statutry requirements, as required. Cllabrate with the Chairpersn and Chief Executive Officer t design, implement and manage all Bard gvernance prcesses and systems. Ensure cmpliance with statutry requirements and Wayside s cnstitutin with respect t the cnduct f Bard meetings. Cllabrate with the Chief Financial Officer t ensure necessary registers and financial recrds are maintained and reprted in accrdance with statutry bligatins Bard relatins and supprt Advise the CEO, Chairpersn and Bard members n all gvernance matters t ensure Wayside cntinuusly imprves and strives fr best practice. Cllabrate with the Chairman and Chief Executive Officer t ensure meetings f the Bard and its subcmmittees are called and held, and that agendas are apprpriately prepared and all meeting dcumentatin disseminated in a timely and efficient fashin. Actively manage the reslutin f Matters Arising. Ensure the effective taking f minutes and recrd keeping fr the Bard and sub-cmmittees. Manage all Bard dcumentatin and cmmunicatins thrugh the nline platfrm, Diligent. Manage the inductin f new Bard members and the training f cntinuing members. Assist the Chief Executive Officer in all crprate secretarial and regulatry respnsibilities n behalf f the Bard t either the Uniting Church in Australia NSW.ACT Synd and the Australian Nt-Fr-Prfits and Charities Cmmissin (ACNC). Planning Utilising the existing ASES Accreditatin wrk develp an verall plan t implement and manage the identified imprvements t the existing Crprate Gvernance systems. Develp a Cntinuus Imprvement Plan in relatin t Bard Gvernance. Actively participate in team meetings Attend all rganisatinal and external meetings as required. Actively participate in service and rganisatinal planning. Participate in the review and further develpment f plicy and prcedures

5 Selectin Criteria Applicatins must address each essential selectin criteria individually. Applicatins which d nt individually address each selectin criteria will nt be cnsidered. Essential Criteria: Degree in Business, Law, Crprate Gvernance, Risk Management r substantial demnstrated experience within a crprate secretarial envirnment. Understanding f the ACNC Act and the regulatry requirements detailed within it. Experience within the Nt Fr Prfit Sectr. Wrking knwledge f the structure f the Uniting Church specifically r federated Nt Fr Prfits bradly. Ability t manage multiple prjects. Highly develped written and ral cmmunicatin skills Strng team player and a cmmitment t cllabrative wrking practices; Willingness t wrk within the eths f The Wayside Chapel missin, visin and values.
